What You Will Be Doing

The Hospital for Special Surgery Data & Analytics team is seeking a Director with a dedicated focus on supporting the Payer Strategy & Contracting function. In this role, you will report into the Data & Analytics team while serving as the primary data partner to leaders and team members in Payer Strategy. You will be responsible for translating business priorities into data-driven solutions, serving as a subject matter expert, driving automation, and delivering reporting, analytics, and insights that enable payer strategy and contracting initiatives and negotiations.

  • Work closely with the Contracting team to provide analytical support for all contracting efforts, including payer contracting, bundled payment contracting, pay-for-performance contracting, and other emerging reimbursement methodologies.

  • Location: Remote + ability to go onsite in New York City for the first 3-4 weeks.

Key Responsibilities (for both roles)

  • Lead drafting, redlining, and negotiation of complex commercial agreements, including vendor, supplier, SaaS, licensing, data privacy, AI, and technology contracts.
  • Review and overhaul existing agreement templates for consistency, accuracy, and risk mitigation.
  • Collaborate cross‐functionally with business, legal, and compliance teams across global offices.
  • Contribute to the creation and refinement of a global contract playbook, outlining standard terms, fallback positions, and negotiation guidance.
  • Support GDPR, data privacy, cybersecurity, and AI‐related contract considerations.
  • Ensure international alignment and harmonization of templates, terms, and contract standards.
  • Organize and rationalize existing contract libraries across jurisdictions.
  • Provide strategic recommendations on contract structure and lifecycle improvements.
  • Participate in internal meetings during EST business hours.

Required Experience & Qualifications

For the US Attorney role:

  • J.D. from an accredited law school.
  • Active membership in at least one US state bar; NY or ability to work as in‐house counsel preferred.
  • 7+ years of experience with complex commercial agreements and technology transactions.
  • Deep familiarity with SaaS, AI‐related terms, data privacy, and vendor agreements.
  • Experience building or contributing to contract playbooks.

For the UK Solicitor role:

  • Qualified solicitor in England & Wales.
  • 7+ years drafting and negotiating UK and international commercial agreements.
  • Experience with GDPR, cross‐border contracting, and technology/vendor agreements.
  • Familiarity with aligning UK templates with global or US frameworks is highly valued.

Contract Remediation Paralegal

We are seeking a highly skilled Contract Remediation Paralegal to support the review and remediation of third-party contracts. This role requires independent contract analysis, identification of compliance and commercial gaps, and clear communication of risk exposure to senior leadership and suppliers.

The ideal candidate operates effectively with structured processes and minimal oversight, exercises strong judgment regarding escalation, and communicates complex contract issues clearly in both written and verbal form.


Responsibilities

• Conduct detailed reviews of third-party contracts (MSAs, SOWs, amendments, DPAs, etc.) to identify regulatory, financial, and operational gaps.

• Compare contract terms against required regulatory, policy, and category standards.

• Prepare structured gap analyses and remediation summaries for category leaders and senior leadership.

• Draft proposed remediation language and coordinate updates with internal stakeholders and third-party suppliers.

• Serve as a primary point of contact for category leaders regarding contract remediation status and risk exposure.
