Key Responsibilities
Employment Counseling
- Advise employers on hiring, discipline, termination, leave issues, and accommodations
- Draft and update employee handbooks, policies, and employment agreements
- Provide compliance guidance under federal, state, and local employment laws
Employment Litigation
- Handle or supervise litigation matters, including:
- Discrimination, harassment, retaliation, and wrongful termination claims

Client & Firm Collaboration

Assistant General Counsel Role:
The Assistant General Counsel will assist in providing general legal services to all constituencies, including senior administrators, faculty, and staff.
Handle a wide range of legal inquiries from various departments.

Role Overview
We are seeking an Associate or Deputy General Counsel to serve as a trusted second-in-command to the General Counsel supporting our U.S. retail insurance brokerage operations. Key Responsibilities

Legal Operations & Governance. The Associate/Deputy General Counsel will assist in developing and implementing legal policies, procedures, and frameworks tailored to high-growth business model. This is a unique opportunity to create the practices, procedures and guardrails that will form the foundation for a newly stood up US insurance brokerage enterprise. This role will support U.S. governance structures and help ensure alignment with global standards. The individual will advise on regulatory, brokerage, licensing, and compliance across multiple states and lines of business.
Regulatory & Compliance Expertise. The Associate/Deputy General Counsel will help ensure compliance with federal, state, and local laws, as well as industry-specific regulations. This includes providing expertise in NAIC guidelines, state Departments of Insurance (DOIs), and relevant federal regulatory bodies. The individual will monitor evolving regulatory landscapes and proactively manage legal risk.
Litigation & Risk Management. The Associate/Deputy General Counsel will assist in managing U.S.-based litigation and disputes, coordinating with external counsel as needed. Qualifications & Experience
The ideal candidate will hold a Juris Doctor (JD) from an accredited U.S. law school and an active license to practice law in at least one U.S. jurisdiction. The candidate should have a minimum of 10 years of post-qualification experience (PQE), with meaningful in-house counsel experience preferred. A strong background in U.S. insurance, commercial, and regulatory law is required with strong preference for those with experience from the broking or intermediary side. The candidate should possess deep knowledge of the insurance retail insurance brokerage landscape, especially regulatory frameworks for specialty and broking. Experience in private equity-backed businesses or similarly dynamic, fast-paced environments is highly valued. Experience working in a multinational or matrixed environment is also desirable.

GENERAL PURPOSE OF POSITION
The Board Legal Counsel is the chief legal advisor to the Board of Trustees ("BOT") Chairperson, the Board of Trustees, and the Chief of Staff of the Office of Hawaiian Affairs. The Board Legal Counsel is responsible for protecting OHA's legal and fiduciary interests as well as providing direct legal support to the BOT. This role ensures organizational compliance with all applicable state, federal, and trust laws, and supports the Board of Trustees (BOT) in fulfilling its constitutional and statutory duties under HRS Β§10-5.
As a key member of the Board of Trustees' team, the Board Legal Counsel helps advance OHA's mission to improve conditions for Native Hawaiians through ethical governance, risk mitigation, legal stewardship of trust resources, and compliance oversight. Key areas of support include governance and compliance matters, procurement and contract oversight, board policies and procedures, conflict of interest safeguards, and the review and development of legal memoranda, standard operating procedures, and other board related documents. Additionally, the Board Legal Counsel advises the BOT on OHA's escheat rights, related kuleana and land matters, and supports the Chairperson in their role as OHA's Chief Procurement Officer, Head of Purchasing Agency, and Senior Executive Board Member as a Co-Trustee of the PapahΔnaumokuΔkea Marine National Monument.
At the direction of the Chairperson, the Board Legal Counsel may further coordinate with OHA's Corporate Counsel or external legal advisors, as appropriate, to ensure alignment with broader legal strategies and risk mitigation.
ESSENTIAL FUNCTIONS & RESPONSIBILITIES
1. Legal Services for OHA
a. Reviews and advises on proposed Board actions to ensure compliance with applicable laws, rules, regulations, and OHA policies and procedures.
b. Drafts legal opinions and advisory memoranda addressing policy, operations, governance, and other administrative functions affecting OHA, the BOT, and staff at the request of the Chairperson, BOT, or Chief of Staff.
c. Reviews and revises OHA contracts, leases, and other transactional documents and instruments subject to the Chairperson or the BOT's review and/or approval, and which impose obligations, responsibilities, encumbrances, liens, or releases that safeguard the agency's legal and financial interests.
d. Conducts legal training for the BOT and Board staff on applicable laws, regulations, and ethical standards relevant to their work duties and responsibilities.
2. Legal Services to the Board of Trustees
a. Provides legal counsel and guidance to the BOT Chairperson, Chairpersons of Standing Committees, Ad Hoc Committees, or Permitted Interaction Groups, BOT, and Chief of Staff on matters involving compliance, risk,
and legal interpretation, including the Board's oversight, fiduciary duties, strategic governance, and trust obligations.
b. Renders legal advice, counsel, and guidance on applicable laws, rules, regulations, court decisions, and legal documents that may affect agency or board operations, including but not limited to state and federal laws impacting Native Hawaiian self-determination, beneficiary rights, and OHA's statutory and fiduciary obligations as a public trust agency.
c. Develops, and implements programs and projects that enhance the legal services provided to the Chairperson, BOT, and Chief of Staff, helping to protect and advance the agency's legal and financial interests.
d. Supports the Board in developing and implementing legal strategies on high-level policy issues, such as ceded lands, the public land trust, Native Hawaiian entitlements, beneficiary services and funding, and agency accountability.
e. Reviews and assesses claims and potential litigation in coordination with the Chief of Staff and/or Corporate Counsel Office, as appropriate. Advises the Chairperson and BOT on legal strategies, including whether to pursue litigation or settlement, with careful consideration of fiduciary impact and organizational risk.
f. Provides legal guidance on complex, confidential, or politically sensitive matters that affect the Board's oversight and decision-making responsibilities.
g. Assists the BOT Chairperson, Chairpersons of Standing Committees, Ad Hoc Committees, Permitted Interaction Groups, BOT, and Chief of Staff with special projects and confidential assignments requiring legal insight and discretion.
h. Supports Standing Committee Chairs and their Aides, the Chief of Staff, and the Board Secretary by reviewing agendas and minutes for BOT and committee meetings, ensuring procedural and legal accuracy.
i. Evaluates legal risks and promotes a culture of compliance, integrity, and proactive legal stewardship at the Board level.
j. Continuously monitors the quality, efficiency, and cost-effectiveness of internal and external legal services secured by and delivered specifically to the Board, in coordination with the Chief of Staff, as distinct from legal services retained by the agency for operational or programmatic purposes, unless otherwise requested by the Chairperson, BOT, or General Counsel. Ensures that all such services align with OHA's mission, fiduciary responsibilities, and commitment to legal and ethical excellence.
3. Consistently upholds the priorities, decisions, and directives of the Chairperson in alignment with the HawaiΚ»i Rules of Professional Conduct.
4. Regular in person attendance is required although this position is hybrid-eligible in accordance with OHA's Telework policy and subject to the discretion and approval of the Board Chairperson.
5. This position requires residency on the Island of OΚ»ahu.

MINIMUM QUALIFICATIONS
Education, Training and/or Experience
1. Education. Juris Doctor (J.D.) from an accredited law school.

3. Legal Work Experience. Minimum of ten (10) years of progressively responsible legal practice.

i. Contractual and Legal Document Expertise. Minimum of five (5) years drafting, reviewing, and negotiating contracts, leases, agreements, legal instruments, and amendments.

PREFERRED QUALIFICATIONS
1. Procurement Law. At least two (2) years of experience applying Hawai'i procurement laws as set forth in HRS Chapters 103D and 103F.

Terms of Employment
This is a full-time position with benefits, reporting to the President of the Civic Committee and Commercial Club of Chicago. Initial employment will be on an introductory basis, with detailed evaluations and feedback for new employees at the 30-, 60-, and 90-day marks.
Position Summary
The General Counsel serves as the chief legal advisor to the organization, providing both strategic and operational legal guidance to the executive team. This role is responsible for ensuring compliance with all applicable laws and regulations, managing legal risk, and overseeing matters related to governance, contracts, employment, and nonprofit regulatory obligations. By doing so, the General Counsel helps strengthen the organizationβs legal and operational foundation. The position works closely with senior leadership, staff, andβwhen appropriateβthe Board of Directors. It also manages all legal matters, including coordination with external counsel (pro bono, insurance-related, and retained legal services).
Essential Functions
- Advise the CEO, Board of Directors, and senior leadership on legal matters affecting the organization.
- Ensure compliance with Illinois nonprofit corporation law, IRS regulations, and other applicable federal, state, and local laws, consistent with the organizationsβ tax-exempt status.
- Draft, review, and negotiate contracts, MOUs, grant agreements, and partnership agreements.
- Support governance matters, including board policies, bylaws, and meeting procedures.
- Manage legal aspects of employment law, including employee handbooks, investigations, employee transitions, and legal compliance, in partnership with external counsel as necessary.
- Liaise with Human Resources Manager on benefits and payroll compliance including contracts and benefit plan restatements, including 401k.
- Support risk management, insurance, and liability mitigation strategies.
- Coordinate with outside counsel as needed.
- Monitor legislative and regulatory developments relevant to the organizationβs mission and operations.
- Provide legal support for fundraising, lobbying, and advocacy activities, ensuring compliance with lobbying disclosure and charitable solicitation laws.
- Provide legal support for fundraising relative to accounting rules in compliance with generally accepted accounting principles (GAAP).
- Maintain corporate records and filings, including annual reports, charitable registrations, and business licenses.
- Manage real estate negotiations, execution of leases, on-going monitoring, and renewals.
- Collaborate closely with policy leads across program areas to provide legal insight, strengthen policy positions, and ensure initiatives are grounded in sound legal frameworks.
Primary Responsibilities
- Strategic Advisor to Leadership: Provide forwardβlooking legal counsel to executive leadership on emerging legal issues, translating complex concepts into actionable insights that align with organizational priorities. Ensure leadership maintains a clear understanding of legal rights, obligations, and potential impacts on operations.
- Develop & Implement Legal Strategies: Maintain a comprehensive understanding of the Civic Committee and Commercial Clubβs operations, governance structures, and key legal documents to design and execute legal strategies that support organizational goals. Lead the drafting, review, and negotiation of critical legal documents to ensure alignment with business and policy objectives.
- Dispute Resolution & Litigation Management: Serve as the strategic point of contact for all litigation matters. Partner with external counsel to drive effective litigation strategies and ensure the organizationβs interests are protected.
- Lobbying & Advocacy Support: In coordination with outside legal counsel, provide legal guidance on lobbying activities, ensuring compliance with applicable federal, state, and local lobbying laws and regulations. Support the execution of lobbying strategies, registration and reporting obligations, and compliance protocols for staff and member engagement.
- Risk Management: Develop and maintain a risk management framework to identify, assess, and mitigate legal and operational risks. Advise leadership on risk exposure and implement proactive measures to strengthen compliance and reduce vulnerability.
Position Requirements
Education and Experience Requirements
- J.D. from an accredited law school and admission to the Illinois Bar (or eligibility for in-house counsel registration).
- Minimum 7β10 years of legal experience
- Strong knowledge of nonprofit or corporate governance, tax-exempt law, and Illinois corporate law.
- Experience with employment law, contracts, and regulatory compliance.
- Excellent judgment, communication, and interpersonal skills.
- Ability to work independently and collaboratively in a fast-paced, civic-oriented environment.
- The ability to establish connections with staff at all levels to enhance collaboration and facilitate effective communication.
Preferred Experience
- Experience supporting boards of directors and governance structures.
- Familiarity with advocacy, lobbying compliance, or political activity rules for nonprofits.
- Prior in-house experience.
- Knowledge and understanding of the key policy issues related to the Chicago region and the state of Illinois preferred.

Working Environment
The position is in Chicago. Regular travel within the city is required. Compensation
Commensurate with experience, targeting $225,000 annually. The Club offers a competitive benefits package, subject to specific policy eligibility guidelines.
The Associate Counsel supports the General Counsel in managing the Companyβs legal affairs, providing pragmatic, timely, and business-focused legal advice. This role assists in all areas of legal practice impacting the Company, including corporate and commercial contracts, employment matters, compliance, operations, and risk management. The Associate Counsel will work closely with internal stakeholders and external counsel to ensure legal efficiency and mitigate risk while supporting the Companyβs continued growth.
ESSENTIAL DUTIES AND RESPONSIBILITIES
Responsibilities:
- Provide day-to-day legal support to business units under the direction of the General Counsel, delivering practical solutions to achieve business objectives.
- Review, draft, and negotiate a broad range of commercial agreements, including vendor, service, confidentiality, consulting, and technology-related contracts.
- Assist with contract disputes and terminations.
- Assist with obtaining and renewing all licenses needed, including navigating various issues that arise in obtaining licenses.
- Advise on employment and human resources matters, including hiring and termination, workplace policies, employee relations, and compliance with employment laws.
- Assist in risk management and litigation matters, including coordinating with outside counsel, reviewing pleadings, participating in discovery, attending depositions, and supporting litigation strategy and resolution efforts to ensure the legal teams are prepared for trial to obtain the best possible results.
- Collaborate with the General Counsel and Risk Management team to identify, evaluate, and mitigate potential risks across Company operations.
- Research and analyze legal issues to provide clear, actionable recommendations to management and other departments.
- Support corporate governance functions, including entity formation, entity management, entity planning, annual filings, and preparation of corporate documents.
- Manage projects and coordinate work with internal stakeholders, outside counsel, and third-party vendors to ensure timely and cost-effective outcomes.
- Maintain a strong understanding of applicable laws, regulations, and industry standards to proactively identify and address compliance issues.
- Research the laws related to the sale of age-restricted products and provide advice to Operations on the permitted days and hours of operations and compliance with age-restricted sales laws.
- Assist in handling alcohol and tobacco compliance issues, and provide advice on improving compliance.

EDUCATION AND REQUIREMENTS
Required:
- Juris Doctorate degree required from an accredited law school
- 3-5 years of legal experience practicing law
- Experience drafting and negotiating commercial contracts and providing general corporate counsel.
Preferred:
- Experience working in-house with a corporate legal department.
- Experience with litigation management, compliance, or regulatory matters.
