Position Overview

Role Overview

We are seeking an Associate or Deputy General Counsel to serve as a trusted second-in-command to the General Counsel supporting our U.S. retail insurance brokerage operations. This is an exceptional opportunity to help shape a high-growth business, working closely with senior leadership in a dynamic, entrepreneurial environment. The Associate/Deputy General Counsel will take on significant day-to-day responsibilities and partner with the General Counsel to build a high-impact legal presence within the U.S. operations. Key Responsibilities

Strategic Legal Partnership. The Associate/Deputy General Counsel will support the General Counsel in serving as a legal advisor to the U.S. retail insurance brokerage business, covering both specialty and retail insurance broking lines. This individual will act as a trusted advisor to the U.S. leadership team, contributing to business strategy, governance, and operational planning. The Associate/Deputy General Counsel will participate in executive-level discussions as appropriate, providing legal insight on commercial, regulatory, risk mitigation and structural matters.

Legal Operations & Governance. The Associate/Deputy General Counsel will assist in developing and implementing legal policies, procedures, and frameworks tailored to high-growth business model. This is a unique opportunity to create the practices, procedures and guardrails that will form the foundation for a newly stood up US insurance brokerage enterprise. This role will support U.S. governance structures and help ensure alignment with global standards. The individual will advise on regulatory, brokerage, licensing, and compliance across multiple states and lines of business.

Regulatory & Compliance Expertise. The Associate/Deputy General Counsel will help ensure compliance with federal, state, and local laws, as well as industry-specific regulations. This includes providing expertise in NAIC guidelines, state Departments of Insurance (DOIs), and relevant federal regulatory bodies. The individual will monitor evolving regulatory landscapes and proactively manage legal risk.

Litigation & Risk Management. The Associate/Deputy General Counsel will assist in managing U.S.-based litigation and disputes, coordinating with external counsel as needed. This individual will identify legal risks and develop mitigation strategies in partnership with business leaders. Deep understanding of operational risk of a US licensed insurance broker are required as this role will partner closely with the Chief Risk Officer, Chief Data Privacy Officer, and IT for the US business to build compliant systems that allow for fast, disciplined growth while remaining compliant with a complex web of legal and regulatory operational mandates.

Team Collaboration & Development. The Associate/Deputy General Counsel will work closely with the General Counsel to help build and mentor the U.S. legal team over time. This role will collaborate with existing legal colleagues in the region and leverage the broader Howden Group legal function.

Qualifications & Experience

The ideal candidate will hold a Juris Doctor (JD) from an accredited U.S. law school and an active license to practice law in at least one U.S. jurisdiction. The candidate should have a minimum of 10 years of post-qualification experience (PQE), with meaningful in-house counsel experience preferred. A strong background in U.S. insurance, commercial, and regulatory law is required with strong preference for those with experience from the broking or intermediary side. The candidate should possess deep knowledge of the insurance retail insurance brokerage landscape, especially regulatory frameworks for specialty and broking. Experience in private equity-backed businesses or similarly dynamic, fast-paced environments is highly valued. Experience working in a multinational or matrixed environment is also desirable.

GENERAL PURPOSE OF POSITION

The Board Legal Counsel is the chief legal advisor to the Board of Trustees ("BOT") Chairperson, the Board of Trustees, and the Chief of Staff of the Office of Hawaiian Affairs. The Board Legal Counsel is responsible for protecting OHA's legal and fiduciary interests as well as providing direct legal support to the BOT. This role ensures organizational compliance with all applicable state, federal, and trust laws, and supports the Board of Trustees (BOT) in fulfilling its constitutional and statutory duties under HRS Β§10-5.

As a key member of the Board of Trustees' team, the Board Legal Counsel helps advance OHA's mission to improve conditions for Native Hawaiians through ethical governance, risk mitigation, legal stewardship of trust resources, and compliance oversight. Key areas of support include governance and compliance matters, procurement and contract oversight, board policies and procedures, conflict of interest safeguards, and the review and development of legal memoranda, standard operating procedures, and other board related documents. Additionally, the Board Legal Counsel advises the BOT on OHA's escheat rights, related kuleana and land matters, and supports the Chairperson in their role as OHA's Chief Procurement Officer, Head of Purchasing Agency, and Senior Executive Board Member as a Co-Trustee of the Papahānaumokuākea Marine National Monument.

At the direction of the Chairperson, the Board Legal Counsel may further coordinate with OHA's Corporate Counsel or external legal advisors, as appropriate, to ensure alignment with broader legal strategies and risk mitigation.

ESSENTIAL FUNCTIONS & RESPONSIBILITIES

1. Legal Services for OHA

a. Reviews and advises on proposed Board actions to ensure compliance with applicable laws, rules, regulations, and OHA policies and procedures.

b. Drafts legal opinions and advisory memoranda addressing policy, operations, governance, and other administrative functions affecting OHA, the BOT, and staff at the request of the Chairperson, BOT, or Chief of Staff.

c. Reviews and revises OHA contracts, leases, and other transactional documents and instruments subject to the Chairperson or the BOT's review and/or approval, and which impose obligations, responsibilities, encumbrances, liens, or releases that safeguard the agency's legal and financial interests.

d. Conducts legal training for the BOT and Board staff on applicable laws, regulations, and ethical standards relevant to their work duties and responsibilities.

2. Legal Services to the Board of Trustees

a. Provides legal counsel and guidance to the BOT Chairperson, Chairpersons of Standing Committees, Ad Hoc Committees, or Permitted Interaction Groups, BOT, and Chief of Staff on matters involving compliance, risk,

and legal interpretation, including the Board's oversight, fiduciary duties, strategic governance, and trust obligations.

b. Renders legal advice, counsel, and guidance on applicable laws, rules, regulations, court decisions, and legal documents that may affect agency or board operations, including but not limited to state and federal laws impacting Native Hawaiian self-determination, beneficiary rights, and OHA's statutory and fiduciary obligations as a public trust agency.

c. Develops, and implements programs and projects that enhance the legal services provided to the Chairperson, BOT, and Chief of Staff, helping to protect and advance the agency's legal and financial interests.

d. Supports the Board in developing and implementing legal strategies on high-level policy issues, such as ceded lands, the public land trust, Native Hawaiian entitlements, beneficiary services and funding, and agency accountability.

e. Reviews and assesses claims and potential litigation in coordination with the Chief of Staff and/or Corporate Counsel Office, as appropriate. Advises the Chairperson and BOT on legal strategies, including whether to pursue litigation or settlement, with careful consideration of fiduciary impact and organizational risk.

f. Provides legal guidance on complex, confidential, or politically sensitive matters that affect the Board's oversight and decision-making responsibilities.

g. Assists the BOT Chairperson, Chairpersons of Standing Committees, Ad Hoc Committees, Permitted Interaction Groups, BOT, and Chief of Staff with special projects and confidential assignments requiring legal insight and discretion.

h. Supports Standing Committee Chairs and their Aides, the Chief of Staff, and the Board Secretary by reviewing agendas and minutes for BOT and committee meetings, ensuring procedural and legal accuracy.

i. Evaluates legal risks and promotes a culture of compliance, integrity, and proactive legal stewardship at the Board level.

j. Continuously monitors the quality, efficiency, and cost-effectiveness of internal and external legal services secured by and delivered specifically to the Board, in coordination with the Chief of Staff, as distinct from legal services retained by the agency for operational or programmatic purposes, unless otherwise requested by the Chairperson, BOT, or General Counsel. Ensures that all such services align with OHA's mission, fiduciary responsibilities, and commitment to legal and ethical excellence.

3. Consistently upholds the priorities, decisions, and directives of the Chairperson in alignment with the HawaiΚ»i Rules of Professional Conduct.

4. Regular in person attendance is required although this position is hybrid-eligible in accordance with OHA's Telework policy and subject to the discretion and approval of the Board Chairperson.

5. This position requires residency on the Island of OΚ»ahu.

OTHER DUTIES/RESPONSIBILITIES

MINIMUM QUALIFICATIONS

Education, Training and/or Experience

1. Education. Juris Doctor (J.D.) from an accredited law school.

2. Licensure. Must be licensed to practice law in the State of Hawai'i and a member in good standing with the Hawai'i State Bar Association.

3. Legal Work Experience. Minimum of ten (10) years of progressively responsible legal practice.

β€’ At least five (5) of those years must be in the State of Hawai'i.

β€’ Legal experience must include the following:

i. Contractual and Legal Document Expertise. Minimum of five (5) years drafting, reviewing, and negotiating contracts, leases, agreements, legal instruments, and amendments.

ii. Leadership and Legal Team Management. Minimum of five (5) years supervising and evaluating attorneys and legal support staff. Experience must demonstrate leadership, organizational, and team development skills in a complex, multi-disciplinary environment.

PREFERRED QUALIFICATIONS

1. Procurement Law. At least two (2) years of experience applying Hawai'i procurement laws as set forth in HRS Chapters 103D and 103F.

2. Specialized Legal Expertise. Demonstrated legal experience in one or more of the following areas is highly preferred:

Responsibilities

The Assistant General Counsel provides legal advice on a multitude of topics including economic development, public finance, continuing disclosure, tax increment financings, appropriations, governmental grants, government procurement practices, and contracts.

Duties include but are not limited to:

  • Conducting research of laws, legal opinions, policies, regulations, and cases bearing on legal issues involving policy, economic development, public finance, contracts, and government procurement practices
  • Keeping abreast of changes in laws and regulations
  • Reviewing documents presented to the CFO and/or General Counsel for approval and/or signature
  • Serving as Freedom of Information Act (FOIA) Disclosure Counsel for OCFO FOIA requests
  • Performing other related duties as assigned

Minimum Qualifications: Five (5) years of progressive experience performing the related duties such as: reviewing, analyzing, and drafting documents related to complex legal issues and legislation; serving as a legal advisor; and working knowledge of one or more of the following disciplines: Corporate Law, Legislation, Litigation, Commercial, Federal or State/Municipal Government, Labor Contracts, Public Finance, Economic Development, or other relevant disciplines.

In addition – A Juris Doctorate degree or equivalent from an accredited law school is required and D.C. licensure or admittance to membership in the D.C. Bar in accordance with the D.C. Bar rules within six (6) months of employment. An official transcript must be submitted in order to be considered for the position. Position Summary


The Labor and Employment Counsel will serve as the primary legal advisor on all employment and labor matters for Relay Resources. This role will lead employee and union relations strategy and compliance with federal and state employment laws.Β The role will partner with Relay Resources HR leadership to foster a disability-centric, inclusive, and legally compliant workplace. Qualifications

Job Description

The Vice President and General Counsel is responsible for providing legal counsel, advice, and representation on a diverse range of issues, including, but not limited to, federal, state, and tribal gaming regulatory compliance, employment law, vendor contracting, federal, state, and liquor regulatory compliance, tort claims, loss prevention, and joint ventures, with respect to Tribal sovereignty. In addition to providing legal advice, the Vice President and General Counsel provides policy guidance to senior management and other employees, assists in determining solutions to legal/business problems, and assists in developing business strategies to address business and regulatory objectives and policy.

  • Learns and applies knowledge of the Tribe’s sovereignty, jurisdiction, and authority in all legal matters to all applicable job functions/duties of this role, with the intent to protect, promote, respect, and uphold.
  • Studies statutes, decisions, and ordinances to interpret laws, rulings, and regulations for Sky River Casino.
  • Monitors, interprets and applies jurisdictional gaming regulations, as necessary, advising senior management of current and pending amendments or additions to legal issues.
  • Examines legal data to determine advisability of defending or prosecuting lawsuit.
  • Serves as an agent of the Company in various transactions, including contracts, lease agreements, insurance, infractions of governmental regulations, and other matters.
  • Represents the Company in litigation, disputes arising from joint venture activities (e.g., breach of contract, fiduciary duty claims, and tort liability), and other legal proceedings.
  • Identifies and advises on risks in joint ventures related to liability, regulatory compliance, and intellectual property.
  • Ensures Company understands and fulfills fiduciary duties to joint ventures and other parties involved.
  • Navigates conflicts of interest and maintains ethical standards in representation.
  • Servs as a liaison between the Company and other joint venture parties, government agencies, and external counsel.
  • Represents the Company’s interests in negotiations, public forums, and strategic discussions.
  • Advises department heads based on sound legal judgment.
  • Prepares business contracts and administers other legal matters.
  • Prepares various other agreements on behalf of the company including nondisclosure agreements, real estate documents, financing, and outsourcing agreements.
  • Researches legal questions and performs research as required.
  • Manages an internal legal team, providing guidance and support for their professional growth, as well as annual performance reviews on a yearly basis.
  • Drafts separation and employment agreements and handles other employment matters as needed.
  • Maintains daily contact with guests and legal counsel representing guests regarding transactional agreements and other legal issues.
  • Manages relationships with external counsel and legal consultants.
  • Strictly adheres to all company policies and procedures at all times.
  • Enforces internal policies as necessary.
  • Maintains a current knowledge of programs, promotions, and all property and company activities.
  • Displays a positive and productive attitude at all times with guests and Team Members.
  • Carries out supervisory responsibilities in accordance with Sky River’s policies and applicable laws.
  • Ensures the health, safety and welfare of all Team Members and visitors within area of control.

Qualifications

  • Juris Doctor (J.D.) degree from accredited law school.
  • 10 years of gaming law, employee law, and labor relations, or related field experience, with 5 years in a supervisory capacity required.
  • Active membership in the California State Bar.
  • Substantial experience as a practicing attorney, preferably in a casino or hospitality-related industry.
  • Experience in analyzing and addressing tribal sovereignty issues.
  • Experience in representing parties in joint ventures and/or joint representation arrangements.
  • Excellent organizational skills and attention to detail.
  • Strong analytical and problem-solving skills.
  • Strong supervisory and leadership skills.
  • Proficient with Microsoft Office Suite or related software.
  • Demonstrated ability to manage and prioritize multiple priorities while maintaining a high level of energy and output.
