Key Responsibilities

The Senior Counsel will provide legal leadership across a wide range of transactional matters related to renewable energy project development and acquisitions.

Responsibilities include:

  • Drafting, negotiating, and managing transaction documentation including membership interest purchase agreements (MIPAs), asset purchase agreements (APAs), and related transaction agreements.
  • Identifying and mitigating legal risks associated with project acquisitions, sales, and development activities.
  • Partnering with cross-functional teams across development, real estate, finance, interconnection, and policy to support project transactions and financing structures.
  • Negotiating additional commercial agreements related to renewable energy development, including power purchase agreements (PPAs), joint ventures, interconnection agreements, subscriber agreements, and operations contracts.
  • Supporting project financing activities including coordination with lenders, investors, and internal finance teams.
  • Developing and improving internal processes, templates, and tools that streamline diligence, negotiation, and closing of transactions.
  • Managing external counsel and ensuring effective collaboration between internal and outside legal teams.
  • Providing legal support across the lifecycle of renewable energy assets, from origination through financing, ownership, and operations.


Candidate Profile

The successful candidate will be a commercially minded attorney with strong transactional experience and a demonstrated interest in the renewable energy sector.

Preferred qualifications include:

  • Juris Doctor (JD) from an accredited law school with a strong academic record.
  • Approximately 6–8+ years of relevant legal experience, ideally combining top-tier law firm training with in-house or transactional exposure.
  • Deep familiarity with M&A transactions in the energy or infrastructure sector, particularly involving project acquisitions or asset sales.
  • Significant experience drafting and negotiating MIPAs, APAs, and related purchase and sale agreements.
  • Experience supporting renewable energy development or infrastructure transactions is strongly preferred.

Essential duties and responsibilities include the following:

  • Identify and develop community members into local leaders through coordinating regular member meetings, workshops, and other community-building and educational programs, as well as mobilizing community members to participate in actions.
  • Build relationships with other organizations and coalitions and coordinate Citywide and Statewide immigration advocacy for community members.

Title: Payroll Tax Analyst

Location: Hybrid - Louisville, KY 40202 (Onsite: 2-3 days, 9-10 days a month)

Duration: 6 months, possibility of extension & Permanent

Job Summary:

  • The Payroll Tax Analyst is responsible for the timely and accurate preparation of US and Canadian payroll tax returns, deposits, and reconciliations utilizing designated HRMS (Workday) software, ADP SmartCompliance, Query/report writing, and Excel.
  • These include State/Local for US and Federal and Provincial payroll tax liabilities for 20+ legal entities across the US and Canada on behalf of the client and its related US subsidiaries.


Job Responsibilities:

  • The position requires independent research and timely responses to inquiries/notifications from various tax authorities by accessing the required governmental websites. Additionally, the preparation of amended returns is required.
  • The Payroll Tax Analyst will research and respond to less complex payroll tax/compliance issues by managing case management system tickets.
  • The Payroll Tax Analyst is responsible for ensuring all tax reconciliations, returns, and deposits are completed, filed, and paid by published due dates. Also, analyze multi-state payroll tax data and perform calculations to ensure payroll information is reported to governmental agencies as required.
  • The Payroll Tax Analyst will assist with the tax testing of HRMS tax releases, and may assist with the year-end W2, T-4, and RL-1 preparation, reconciliation, corrections, and filings.
  • The Payroll Tax Analyst will remain current on payroll tax guidelines, utilizing BNA, ADP, APA, CPA and Equifax, and other payroll and payroll tax publications to ensure ongoing compliance with all payroll tax laws and regulations.
  • The Payroll Tax Analyst will communicate regularly with managers/HR business partners and liaise with Tax Authorities and escalate compliance issues to management as needed.
  • The Payroll Tax Analyst must closely follow Standard Operating Procedures (SOPs) and company policies at all times to ensure Company compliance and minimize risk.
  • Communicate effectively with teams across HR Services to ensure customer service SLAs are met and/or exceeded.

JOB DESCRIPTION

We are seeking a dedicated and talented individual to serve as an Immigration Staff Attorney. MinKwon's Social and Legal Services Program provides direct services to over 2,500 low-income households annually. This position is housed in our Immigration Legal Services program and requires a J.D.

Essential duties and responsibilities include the following:

  • Conduct comprehensive immigration screenings, intakes, and case assessments.
  • Provide information about eligible immigration benefits, assist clients with gathering documents, and complete immigration applications & petitions.
  • Provide direct representation and legal advice to clients in cases including but not limited to naturalizations, green card renewals, adjustment of status, SIJS, VAWA, TPS, U and T visas, cancellation of removal, family based petitions, DACA renewals, and inadmissibility waivers.
  • Process immigration-related correspondence and manage routine client communications.
  • Maintain detailed and up-to-date notes in case management system, and in physical and electronic files.
  • Prepare and conduct community outreach and educational workshops.
  • Work with MinKwon's development staff on immigration grants deliverables and reporting.
  • General administrative and clerical duties.

MinKwon Center's Staff Attorney will provide free legal consultations and direct representation on immigration matters to primarily low-income Asian immigrant communities in New York City.

Essential duties and responsibilities include the following:

  • Provide legal counsel and direct representation to clients seeking assistance with affirmative applications, naturalization, and removal proceedings;
  • Work with MinKwon organizers to conduct outreach, trainings, and workshops for individuals and community partners on immigration issues;
  • Represent MinKwon during district stakeholder meetings with USCIS and in other immigration-related coalition meetings;
  • Supervise and oversee volunteers and interns;
  • Maintain detailed client records in case management system

Candidates will be evaluated on the basis of the following:

  • Licensed to practice law in the United States (Preferably in NY due to representing children in family court proceedings)
  • Interest and experience in working with the Asian American community
  • Expertise and experience in immigration law
  • English and Chinese and/or Spanish language proficiency is required
  • Ability to manage a diverse and high caseload and deadlines efficiently with minimal supervision
  • Excellent oral and written communication skills
  • Ability to work well both independently and in teams
  • Strong commitment to public service; non-profit experience preferred

QUALIFICATIONS

The minimum required qualifications for this position include the following:

  • Chinese and/or Spanish fluency is required.
  • J.D. required.
  • Ability to work well independently, in teams, and in collaboration with outside organizations.
  • Proficiency in Microsoft Office and Google Suite applications.
  • Ability to work in a multicultural environment and with limited English proficient communities.

The ideal candidate will also have the following preferred qualifications:

  • Previous experience with immigration legal or social services.
  • Knowledge, interest, and commitment towards concepts and issues of social, political, and economic justice and positive social change in the U.S., especially in the context of Korean American, APIA, and/or immigrant communities.
  • Ability to be highly organized, meet deadlines, manage a high caseload, and take initiative on projects with minimal supervision.
  • Experience with data entry and management.
