Position Summary: Corporate and Securities Associate

CFM is seeking a Corporate & Securities Associate to join our Cryptocurrency and Blockchain Practice in one of our offices in the Bay Area, New York, or Denver. The Associate will engage in a wide range of corporate and securities transactions, with a strong focus on blockchain, cryptocurrency, and digital asset-related financial products. This role involves advising on securities laws and regulations, assisting with onshore and offshore compliance, and supporting transactions such as private placements, venture capital financings, institutional debt and equity financings, restricted stock transfers, and mergers and acquisitions.

The ideal candidate will have experience with cryptocurrency, digital assets, token offerings, and emerging legal issues in fintech.

Responsibilities:

• Provide legal advice on federal and state securities laws and regulations, including SEC, Blue Sky, and NYSE compliance.
• Support offerings under Regulations A, D, S, and CF, and oversee entity formation and management contracts.
• Advise on legal aspects of token compensation and issuances, Security Token Offerings (STOs), stablecoins, exchanges and trading platforms, and other blockchain-related financial products.
• Apply advanced knowledge of the legal landscape in blockchain, cryptocurrency, and digital assets.
• Demonstrate expertise in FINRA and broker-dealer issues and advise on ETFs, including regulatory filings, compliance, and board matters.
• Conduct legal research and provide guidance on emerging legal issues in securities, cryptocurrency, and fintech.
• Collaborate with offshore counsel and clients' internal teams (finance, compliance, and product development) to ensure legal compliance and mitigate risks.
• Assist with capital markets transactions and special corporate projects, including token treasury management, mergers, acquisitions, and strategic initiatives.
• Develop and implement policies and procedures to ensure regulatory compliance.

Requirements:

• Active membership (in good standing or pending) with the California, New York, or Colorado State Bar.
• Minimum of 3 years of legal experience in securities law, with at least 2 years focused on cryptocurrency, blockchain, and digital assets.
• Strong expertise in securities laws, including the 1933 and 1934 Acts, and experience with hedge fund formation, ICOs, STOs, and blockchain-related financial products.
• In-depth understanding of federal and state securities laws, SEC regulations, FINRA, and broker-dealer issues.
• Experience advising on ETFs, smart contracts, and the regulatory landscape surrounding cryptocurrency and blockchain technology.
• Familiarity with the Investment Advisers Act, Investment Company Act, offshore funds, and parallel fund structures is a plus.
• Excellent interpersonal skills, with the ability to clearly communicate complex legal concepts to non-legal stakeholders.
• High level of integrity, professionalism, and attention to detail, along with excellent analytical, research, and drafting skills.

SUMMARY

KEY RESPONSIBILITIES

Securities Law and SEC Compliance

• Support periodic and current reporting processes (Forms 10-K, 10-Q and 8-K) and proxy statement
• Manage insider trading compliance and assist with the preparation and filing of Section 16 reports (Forms 3, 4, and 5)
• Monitor filing deadlines and maintain a compliance calendar to ensure timely submissions
• Track changes in SEC rules and regulations

Corporate Transactions

• Support attorneys in public and private securities offerings
• Assist with due diligence for mergers, acquisitions, and other capital markets transactions

Corporate Governance & Board Support

• Maintain and update corporate governance policies, charters and entity records
• Assist with the preparation of board and committee meeting materials, including agendas, resolutions and minutes
• Support planning and logistics for annual meeting of shareholders

General Legal Support

• Conduct legal research and summarize findings for attorney review
• Manage correspondence with the SEC, transfer agents, outside counsel, and other parties
• Organize and maintain legal files and databases
• Provide general administrative support as needed

QUALIFICATIONS

Required

• Associate's or Bachelor's degree, or Paralegal Certificate from an ABA-approved program
• Minimum 8-10+ years of paralegal experience in securities law, preferably at a law firm or in-house legal department
• Working knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, and related rules and regulations
• Proficiency with EDGAR, SEC filing platforms and board portals
• Strong proficiency in Microsoft Office Suite (Word, Excel, PowerPoint)
• Exceptional organizational skills and attention to detail
• Ability to manage competing priorities and meet strict deadlines

Job Description

The Transformation Group+ (TTG) is a healthcare‑specific Managed Services Organization (MSO) delivering high‑impact IT, security, and compliance services to provider organizations nationwide. We are seeking a Senior Information Security Director who can operate at the intersection of hands‑on engineering, strategic advisory, and leadership execution.

This role is responsible for assessing, implementing, and managing comprehensive security programs for healthcare clients—spanning technical controls, governance, risk, compliance, and incident response. You will also support TTG’s internal security posture, ensuring our own environment reflects the standards we deliver to clients.

Responsibilities

Client Advisory & Engagement

• Lead security assessments for prospective and existing clients, identifying gaps, risks, and improvement opportunities across infrastructure, applications, cloud environments, and organizational processes.
• Present findings and recommendations to technical and non‑technical stakeholders with clarity and confidence.
• Serve as a trusted advisor on security architecture, compliance requirements, and best‑practice frameworks relevant to healthcare organizations.

Security Engineering & Operations

• Implement, configure, and manage security controls across Active Directory, Azure, IAM, endpoint protection, network security, and cloud environments.
• Oversee or support Epic Security administration, access governance, and template/role design.
• Develop and execute vulnerability management processes, including scanning, remediation planning, and reporting.
• Support or lead incident response activities, including triage, containment, investigation, documentation, and breach notification coordination.

Governance, Risk & Compliance

• Conduct ongoing risk assessments, threat/vulnerability analyses, and control evaluations aligned with healthcare regulatory requirements (e.g., HIPAA, HITECH) and industry frameworks.
• Develop, maintain, and implement security policies, standards, and procedures for both TTG and client organizations.
• Support audit readiness and audit response activities for internal and client environments.
• Lead or contribute to Disaster Recovery and Business Continuity planning, testing, and program management.

Program Leadership & Continuous Improvement

• Design and oversee security program components such as monitoring, logging, SIEM use cases, DLP, identity governance, and access review processes.
• Drive continuous improvement initiatives across security operations, compliance workflows, and client service delivery.
• Deliver or coordinate security awareness training and promote a culture of security across TTG and client organizations.
• Collaborate with TTG leadership to ensure alignment between security strategy, operational execution, and client needs.

Qualifications

• 7+ years of experience in Information Security, with a blend of engineering, consulting, and program leadership responsibilities.
• Team player with strong collaboration skills, a positive attitude, and solution-oriented mindset.
• Demonstrated ability to communicate complex concepts to business stakeholders, and lead client-facing meetings, operating as a service provider to deliver value.
• Strong understanding of healthcare regulatory requirements and security frameworks (HIPAA, NIST CSF, CIS Controls, SOC 2, etc.).
• Hands‑on experience with IAM, Azure security, AD hardening, endpoint security, vulnerability management, and incident response.
• Experience with Epic Security.
• Industry‑standard certifications strongly preferred: CISSP, CISM, HCISPP, Security+, CEH, or equivalent.
• Compensation
• The compensation for this role includes a salary or contract range of $150,000–$230,000. Candidates may be hired as either W‑2 employees or 1099 contractors, depending on the role and mutual preference.
