Position Summary:

The Vice President is responsible for supporting the Distressed Investment Team's management of the restructuring and liability management processes of Octagon's stressed and distressed investments. The Vice President will also collaborate closely with industry sector analysts to develop and implement strategies for managing such investments. They will put together Investment Committee memos and facilitate discussion of restructuring/workout strategies. They will also lead or participate in restructuring negotiations for in and out of court proceedings and coordinate with internal teams (legal, trading, operations, etc.) on all administrative matters throughout the lifecycle of Octagon's distressed investments.

Essential Duties and Responsibilities:

  • Assist in developing strategies for managing risk in and restructuring and working out underperforming investments
  • Implement OCI's restructuring strategy through participation in Steering Committee and ad hoc group discussions and negotiations with external stakeholders
  • Conduct detailed review of cooperation agreements, Transaction Support Agreements, credit agreements/indentures, and other legal documents
  • Monitor existing fund portfolios of stressed and distressed investments
  • Coordinate with internal stakeholders (i.e., Compliance, Legal, Accounting, Operations) regarding restructuring transactions and processes
  • Proactively take on ad hoc projects and provide support for new business initiatives, as needed

Areas of Knowledge, Skills, and Abilities/Qualifications:

  • JD with 4+ years of relevant experience in distressed/special situations restructuring investment banking/legal/financial advisory, or bank workout space

The Position

The Vice President of Colleague and Labor Relations serves as a strategic executive leader responsible for developing and executing comprehensive employee and labor relations strategies across a $15 billion healthcare organization. This role provides enterprise-wide leadership in proactively managing labor relations, including the strategic administration of existing collective bargaining agreements, while implementing evidence-based initiatives to foster positive employee relations, balancing employee advocacy with organizational objectives and maintain union-free status in non-represented facilities. A critical focus of this position is the design, implementation, and oversight of a centralized Colleague Relations Center of Expertise (COE) that delivers consistent, compliant, and high-quality employee relations support through a team of specialized practitioners.

ESSENTIAL FUNCTIONS

  • Colleague Relations Center of Expertise Leadership: Design, build, and lead a centralized Colleague Relations COE staffed with specialized practitioners who provide standardized consultation, case management, and advisory services to key stakeholders, colleagues and leaders, ensuring consistent interpretation and application of policies across all facilities.
  • Labor Relations Strategy and Contract Administration: Oversees all collective bargaining activities, contract negotiations, and union relationships. Serves as chief negotiator or strategic advisor during labor negotiations. Develop and execute a comprehensive labor relations strategy that includes proactive management of existing collective bargaining agreements, strategic preparation for contract negotiations, grievance resolution processes, and arbitration management while maintaining collaborative relationships with union leadership. Monitors labor law developments and ensure organizational compliance with all applicable regulations in collaboration with Jefferson's legal department.
  • Union Avoidance and Positive Colleague Relations: Build and directs the colleague relations function including workplace investigations, conflict resolution, and disciplinary processes. Establishes frameworks for addressing colleague concerns, complaints, and performance issues consistently and fairly. Develops programs to improve colleague satisfaction, reduce turnover, and strength manager-colleague relationships. Lead enterprise-wide initiatives to maintain union-free status in non-represented facilities through proactive colleague engagement strategies, vulnerability assessments, leadership training, early warning systems, and programs that address colleague concerns before they escalate.
  • Policy Development and Compliance: Establish and maintain enterprise-wide colleague relations policies, ensuring alignment with federal, state and local labor laws (including NLRA, FLSA, Title VII, ADA, and FMLA), regulatory requirements, and accreditation standards while providing expert guidance on complex employment matters and emerging legal trends.
  • Investigations and Risk Mitigation: Identifies and mitigates employment-related risks. Oversee standardized investigation protocols for colleague complaints, misconduct allegations, and policy violations, ensuring thorough documentation, appropriate corrective actions, and mitigation of organizational risk and liability. Partners with legal counsel on complex matters and litigation management.
  • Leadership Development and Training: Builds and leads a high-performing colleague and labor relations team. Provides coaching and guidance to HR business partners and managers with the best practices for colleague relations. Design and deploy comprehensive training programs for leaders at all levels on positive employee relations practices, labor law fundamentals, union awareness, effective communication, and conflict resolution to build organizational capability.

Job Summary


CRH Americas, Inc. is seeking an experienced real estate attorney to join its collaborative legal department. In this hands-on role, you will report to a Deputy General Counsel of CRH Americas, Inc. and work closely with the Real Estate & Development (“RE&D”) Team and local operating companies. This role will help manage all aspects of complex real estate transactions, including acquisitions, divestitures, easements, leases, licenses, royalty agreements, and 1031 exchanges. As a result, this position requires the skill to identify and address the potential risks associated with complex real estate transactions.

Job Responsibilities


  • Partner with the Company’s RE&D teams and operating companies to execute real estate transactions.
  • Draft, review, and negotiate a broad range of real estate contracts, including mining leases.
  • Assist the operating companies with permitting and eminent domain matters.
  • Serve as legal advisor on a variety of real estate matters related to acquisitions, divestitures, and mergers
  • Help stakeholders to progress all workstreams, including due diligence and regulatory review.
  • Collaborate across functions, including tax and risk management, to achieve transactional objectives.
  • Engage with stakeholders to drive business-oriented solutions to issues arising from complex transactions.
  • Coordinate and assist with the due diligence associated with acquisitions and divestitures.
  • Work with other legal team members to manage the due diligence issues related to transactions.
  • Where applicable, collaborate with outside counsel to drive the transaction process.
  • Advise on a variety of commercial matters and contracts, including a large volume of leases.
  • Develop, review, and revise form agreements and develop tools to improve transactional efficiency.
  • Stay current on market trends and practices in order to make effective legal recommendations.
  • Counsel managers and other employees with regard to legal matters.
  • Work collaboratively with all levels of internal and external clients.
  • Identify legal exposures and take steps to ensure processes are in place to mitigate those exposures.
  • Provide training with regard to topics such as real estate transactions, best practices, and antitrust.
  • Select, develop, evaluate, mentor, motivate, and train staff, as needed.
  • Maintain professional demeanor at all times.

Job Requirements


  • Juris Doctorate degree from an accredited law school and strong academic credentials.
  • License to practice law in at least one state.
  • At least six years of experience practicing real estate law and managing real estate transactions.
  • Prior law firm or in-house experience required.
  • Demonstrated skill in negotiating and advising senior managers on high value/risk matters.
  • Sound judgment with an ability to make timely decisions and provide competent legal advice.
