Position Overview

Burrill Poole PLLC is seeking a Corporate Transactional Associate Attorney (5โ€“7 years experience) to join our team. The ideal candidate will have practical experience in mergers and acquisitions and corporate transactional matters, with exposure to private equity-backed transactions preferred. This attorney will work directly with private owners, management teams, and portfolio companies and will take a lead role in executing acquisitions, recapitalizations, real estate deals, and other strategic transactions, managing key aspects of deals from letter of intent through closing.

Key Responsibilities

M&A Transactions: Take a lead role in drafting and negotiating key transaction documents for acquisitions, divestitures, recapitalizations, and platform/add-on investments, including asset and equity purchase agreements, disclosure schedules, ancillary closing documents.

Deal Execution & Closing Management: Coordinate transaction workflows from letter of intent through closing, working directly with management teams and portfolio companies to drive efficient execution and practical outcomes.

Due Diligence & Risk Analysis: Lead due diligence efforts for corporate transactions, including review of material contracts, governance documents, compliance matters, and operational risk areas. Summarize findings and advise deal teams on risk mitigation strategies.

Equity & Governance Matters: Draft and advise on shareholder and operating agreements, rollover and incentive equity arrangements, entity formation, fiduciary duties, and other governance considerations.

Commercial Agreements in Support of Transactions: Independently draft, review, and negotiate a wide range of corporate and commercial agreements in connection company operations, including vendor agreements, employment agreements, management services agreements, and other related commercial arrangements.

Client Relations & Strategic Counseling: Serve as a trusted advisor to key clients, providing business-oriented legal counsel on corporate matters.

Qualifications
