Role Overview
IoniaPay is seeking a licensed, highly motivated, and operationally focused Associate Corporate Counsel to support the company’s expanding fintech payments platform, including payment orchestration, wallet infrastructure, merchant acquiring relationships, sponsor bank partnerships, and regulated financial services activities. We are a high-growth Series A start-up with lots if room for growth.
This role blends traditional in-house counsel responsibilities with legal operations leadership. The Associate Counsel will draft and negotiate complex commercial agreements while building scalable legal infrastructure, managing regulatory workflows, and supporting cross-functional initiatives across Compliance, Risk, Product, Operations, and Executive Leadership. The ideal candidate is business-minded, execution-oriented, and comfortable operating in a high-growth fintech environment.
Core Responsibilities
Commercial Agreements
• Draft, review, and redline complex commercial agreements, including sponsor bank agreements, reseller agreements, enterprise merchant agreements, Master Services Agreements, product addenda, NDAs, and strategic partnership agreements.
• Partner with Sales, Operations, and Executive Leadership to accelerate deal velocity while maintaining risk discipline.
• Ensure contracts align with BSA/AML, KYC, OFAC, GLBA, PCI-DSS, and related regulatory requirements.
• Maintain and improve contract templates, fallback clause matrices, and standardized playbooks.
• Manage full contract lifecycle from drafting through execution and renewal tracking.
Legal Operations & Outside Counsel Management
• Manage and scope outside counsel engagements, ensuring cost efficiency and strategic use of external resources.
• Reduce external legal spend through internal drafting and structured escalation frameworks.
• Review, track, and reconcile legal invoices and budgets.
• Implement legal intake processes and workflow systems to support scaling.
• Maintain clause libraries and internal legal playbooks to streamline negotiations.
Corporate Governance & Filings
• Coordinate corporate filings and annual reporting requirements.
• Maintain corporate records, minute books, and governance documentation.
• Support equity documentation and capitalization table coordination.
• Assist with preparation of board materials, written consents, and governance summaries.
Dataroom & Documentation Management
• Organize and maintain legal document repositories.
• Ensure investor, lender, and enterprise diligence readiness.
• Track contract deviations and maintain structured risk exposure summaries.
• Develop and standardize documentation processes for scalability and audit readiness.
Cross-Functional Collaboration
• Provide structured legal guidance to Sales, Product, Compliance, Risk, and Operations.
• Support vendor contract review and negotiation alongside Product and Operations.
• Coordinate with Compliance on regulatory-adjacent documentation and audit requirements.
• Prepare concise risk summaries and escalation memoranda for executive review.
Qualifications
• J.D. from an accredited law school.
• Licensed attorney in good standing in at least one U.S. jurisdiction.
• 2–5 years of legal experience, preferably in fintech, payments, financial services, or a related regulatory environment.
• Strong contract drafting, redlining, and negotiation skills.
• Demonstrated experience managing multiple complex agreements simultaneously.
• Highly organized, detail-oriented, and process-driven.
• Business-oriented, pragmatic approach to risk management.

The Role
We’re looking for an Immigration Operations Lead with hands-on experience in business immigration—whether that’s as a paralegal, immigration assistant, or in another operational role at a firm or company that handles employment-based visas. You should know visa categories like O-1A, EB-1A, EB-2 NIW, and H-1B inside and out—not from a textbook, but from actually building cases, assembling evidence packages, and navigating USCIS adjudication standards. You know what a strong petition looks like and what gets an RFE.
You’ll own the operational side of our case portfolio—managing timelines, coordinating evidence collection, preparing filings, and communicating directly with clients over email, video, and Slack throughout the petition process. You’ll work alongside our supervising attorney and client-facing team to make sure every case is strategically airtight and filed on time.
This is not a traditional immigration role. We’re building at the intersection of AI and immigration law, and we need someone who’s genuinely excited about that. You’ll use AI-powered tools daily to draft petition documents, analyze case strategy, and build evidence packages. We don’t need you to be a technologist—we need you to be a sharp immigration professional who sees AI as a force multiplier for doing better legal work.
What You’ll Do
• Manage a portfolio of business immigration cases (O-1A, EB-1A, EB-2 NIW, H-1B) from intake through approval—you own the case, not just pieces of it
• Build petition packages that win: draft cover letters, structure exhibits, compile and organize evidence of extraordinary ability or national interest
• Coordinate evidence collection with clients—chase down recommendation letters, compile publications and citation records, gather awards, press coverage, and salary data
• Draft and refine petition narratives and support letters using AI-assisted tools, flagging unverified claims and weak spots for attorney review
• Conduct case assessments: evaluate client profiles against USCIS criteria, identify evidence gaps, and recommend filing strategies before the attorney consultation
• Communicate directly with clients over email, video, and Slack—provide status updates, answer procedural questions, manage expectations, and keep cases moving forward
• Monitor USCIS processing times, policy updates, and RFE trends—you’re the team’s source of truth on what’s happening at the agency
• Help improve and systematize our internal workflows, templates, and AI-assisted processes as we scale
Who You Are
You’re smart, self-sufficient, and relentlessly detail-oriented. When someone describes their background, you’re already mapping it to O-1A criteria or thinking about whether NIW is the stronger play. You’ve seen enough cases to know what evidence actually moves the needle with USCIS and what’s filler. You pick things up fast, you don’t let things fall through the cracks, and when you get feedback you actually incorporate it—quickly and without needing to be told twice.
Must-Haves
• 3+ years of hands-on experience in business immigration—as a paralegal, immigration assistant, case coordinator, or similar operational role where you personally prepared and filed employment-based petitions (O-1, EB-1, EB-2 NIW, H-1B)
• Deep familiarity with USCIS evidentiary standards, filing procedures, and forms (I-129, I-140, I-485)—the kind of knowledge that comes from building real cases, not just reading about them
• Extremely detail-oriented—you catch inconsistencies in dates, job titles, evidence, and filing requirements before they become problems, and you take pride in getting things right the first time
• A quick learner who can absorb new tools, processes, and feedback rapidly and apply them independently going forward
• Strong written communication: you can draft persuasive petition narratives, articulate a client’s extraordinary ability, and write client-facing messages that are clear, professional, and on-brand

What You Will Do:
- Create and maintain broker relationships (ISOs)
- Act as the key interface between the customer and all relevant divisions
- Work daily and monthly funnel goals to hit revenue targets as set by the team
- Progress towards activity targets and KPI’s set by the team
- Update the CRM and input information on partners and incoming deals
- Play an integral role in new business pitches and hold responsibility for the effective on-boarding of new partners
- Responsible for the development and achievement of new partners, revenue, and volume
- Focus on growing and developing existing partners as well as new partners
- Salary: Base pay + uncapped commission (average earnings potential $100k/year)
- Hours: Monday - Friday (8:30 AM - 5:00 PM)
- In-office position; NOT REMOTE

HOW YOU MAKE AN IMPACT
Automation Engineer II has the responsibility and skills to specify, develop, modify, test, troubleshoot, document, and deploy new or existing control system and related software for Ferrotec products, internal scientific research, and to support other goals. Assigned projects will have timeframes ranging from short tasks of a few hours to development efforts on the order of months. In addition, this role continuously assists customers with automation equipment and software issues, most-often remotely, and generally with limited or incomplete information. Collaboration with other team members will be frequent, but professional experience enables Automation Engineer II to be productive with greater independence.
WHAT SUCCESS LOOKS LIKE
- Specify, develop, modify, test, troubleshoot, document, and deploy new or existing control system and related software for Ferrotec products, internal scientific research, and other company objectives.
- Startup, troubleshoot, and repair existing, new, or upgraded control systems, including soft logic, human/machine interface, wiring, and hard logic. Mark-up schematics, if applicable; document problems and solutions to improve next startup cycle for self and others.
- Perform engineering development activities in a manner consistent with established conventions, producing work products compliant with departmental standards and expectations.
- Seek opportunities to add value to products or reduce recurring costs by advancing designs with new technology, improved processes, and procedures, or by other means in a cost-justified manner.
- Communicates changes and documents requirements, defines scope and objectives for the generation of documentation, procedures, logs, and instructions, both for internal and external consumption.
- Compiles key project-relevant information from vendor documentation and recommend course of action.
- Create software specifications for larger changes and projects
- Ability to identify problems and root causes, then quickly resolve.
- Performs other related duties as may be reasonably assigned in the course of business.

WHAT YOU NEED TO BE SUCCESSFUL
- Degree in Engineering with an emphasis in embedded control, automation, and computer programming.
- 2 to 4 years of relevant work experience
- Programming languages:
- C# - For low level programming
- TwinCat/Ladder logic - PLC programming
- XML - Configuration
- XAML - Screen control
- Robotics integration
- Teamwork and communication
Preferred Skills:
Systems Thinking
- Holistic View: Systems thinking is the ability to see the big picture and understand how different parts of the system interact. As an automation engineer, you need to understand how automation in one area might affect other parts of the system.
- Feedback Loops: Recognizing feedback mechanisms within a system is essential. For example, if an automated task fails, it’s important to understand how the system should react and whether alerts or retries are needed.
- Reliability and Redundancy: Designing automation that ensures reliability and fault tolerance in systems. Ensuring that systems can recover from failures or errors without affecting the overall process is crucial.

Position Overview
YBI is seeking a highly motivated Technical Fellow of Research and Business Development to support YBI’s advanced manufacturing and additive manufacturing initiatives, with a primary focus on supporting the activities of the Youngstown Innovation Hub for Defense and Aerospace.
This position will report directly to YBI while playing a key role in advancing the Innovation Hub’s mission to accelerate additive and advanced manufacturing technologies for defense, aerospace, and industrial applications. The role bridges applied research, federal program development, regional supply-chain engagement, and the development of shared-use, fee-for-service technical services that support manufacturers across Northeast Ohio and the broader Midwest.
Key Responsibilities
Business Development, Commercialization & Innovation Hub Support
• Identify, pursue, and develop business development opportunities aligned with YBI’s advanced manufacturing strategy and the Youngstown Innovation Hub’s defense and aerospace focus.
• Support commercialization and technology transition efforts that move innovations from TRL/MRL development into pilot and production environments.
• Engage OEMs, tier suppliers, foundries, tooling and mold shops, and additive manufacturing service providers throughout Northeast Ohio and the Midwest.
• Represent YBI in engagements with industry partners, government agencies, academic institutions, and regional economic development organizations.
Shared-Use & Fee-for-Service Program Development
• Lead the design, launch, and expansion of YBI’s internal fee-for-service and shared-use technical services, in coordination with Innovation Hub activities.
• Develop service offerings, engagement models, and pricing strategies for reverse engineering, 3D scanning and metrology, rapid prototyping, additive manufacturing, and mold/tooling design.
• Align service capabilities with regional manufacturing needs, workforce development priorities, and defense supply-chain requirements.
• Support utilization of YBI and Innovation Hub equipment and facilities by industry partners, small businesses, and startups.
Grant Writing & Federal Program Development
• Lead and support competitive proposals for SBIR/STTR, Department of Defense, and manufacturing-focused federal funding programs.
• Integrate YBI capabilities, Innovation Hub assets, and sustainable revenue models into grant proposals and long-term program strategies.
• Coordinate proposal development across YBI staff, technical teams, academic partners, and administrative stakeholders.
Research, Technical & Market Analysis
• Conduct applied research and market analysis related to additive manufacturing, advanced materials, and hybrid manufacturing processes.
• Support applied R&D, demonstration projects, and pilot programs in metal and ceramic additive manufacturing.
• Evaluate manufacturability, scalability, cost, and quality considerations for transitioning technologies into production.
• Prepare technical reports, white papers, and sponsor-facing deliverables.
Required Qualifications
• PhD preferred (Master’s degree with significant relevant experience will be considered).
• Demonstrated experience in federal grant writing, particularly SBIR/STTR programs.
• Strong applied research and technical analysis capabilities.
• Working knowledge of additive manufacturing and 3D printing technologies.
• Excellent written and verbal communication skills.
Preferred / Bonus Qualifications
• Experience working with or supporting programs for the U.S. Department of War
• Experience building or managing shared-use, fee-for-service, or applied research service models.
• Familiarity with Northeast Ohio and Midwest manufacturing supply chains, including metal additive manufacturing, 3D-printed ceramics, castings, foundry operations, mold design, tooling, and hybrid manufacturing.
• Experience supporting technology transition, scale-up, or manufacturing readiness initiatives.
