*We are currently seeking an experienced Executive Director to join our Technology financial advisory practice in San Francisco.
**Primary Responsibilities:
*** Lead deal origination and execution across M&A, capital raising, and strategic advisory assignments for a broad range of technology clients, from high-growth private companies to large-cap public corporations.
* Cultivate and manage key client relationships, with a particular focus on financial sponsors and their portfolio companies, acting as a trusted, long-term advisor.
* Oversee a wide variety of quantitative analyses, including leverage buyout models, discounted cash flow, multiple valuation analysis, merger and acquisition accretion/dilution analysis and credit analysis for client and investor presentations.
* Develop investment scenarios and corresponding presentation/prospectus material, coordinated marketing for public private securities offerings, valuation analysis, business plans, and financial projections.
* Leverage Firm's capital markets, proprietary research and analytical capabilities to provide top-notch investment, risk advisory, merger & acquisition and capital markets services.
* Monitor relevant transactions, capital market trends, company financial statements, industry, regulatory, and economic information, and other important assessments in the financial sector.
* Work directly with Senior Vice Presidents and Managing Directors in all facets of the business, including marketing, transaction evaluation and transaction processing.
* Serve as a key thought leader on market trends, competitive dynamics, and valuation within specific technology sub-sectors.
**Required Skills & Experience:
*** 8+ years of investment banking experience, with a demonstrated track record of transaction execution and client management within the Technology sector.
* Deep expertise in public and private company M&A.
Experience with sponsor-led transactions is highly preferred.
* Ability to apply fundamentals of economic and financial analysis methods for business decisions, finance, accounting, business statistics, marketing, investment, financial forecasting and marketing at a high level
* Experience supervising Analyst and Associate level staff in research & analysis and ensuing transactions within the investment banking sector.
* Demonstrated maturity, presence, attention to detail, initiative, and problem solving skills.
* Ability to effectively adapt to and address changing client and firm needs.
* Public company M&A experience.
**Education:
*** An MBA from a top-tier business school or equivalent investment banking experience

About the roleAs Head of Legal, US, you’ll be a key strategic partner to InfoTrack and its subsidiaries including One Legal, Green Filing, and LawToolBox, shaping legal strategy in a fast-moving tech environment. You’ll work cross-functionally to ensure compliance, manage risk, and help drive business growth through sound, forward-thinking legal counsel. In this role, you will report directly to the Global General Counsel based in Australia. This is an opportunity to step into a fast-paced role with high impact and visibility across the organization.
Responsibilities- Contract Negotiation and Drafting: Draft, review, and negotiate a wide range of commercial agreements, including Platform as a Service licenses, IP licenses, service level agreements, vendor and supplier contracts, reseller agreements and partnership and integration agreements.
- Investigations, Disputes & Litigations: Oversee dispute and litigation matters, including contract and intellectual property disputes, regulatory investigations, and responding to subpoenas, declaration requests, drafting and negotiating settlement and release agreements, all with the support of external counsel, as necessary.
- Product Support: Advise the business on legal considerations related to product innovations, as well as draft and develop product specific terms and third-party pass-through terms as required.
- Legal Compliance: Stay abreast of laws, regulations, and industry standards relevant to the technology and property sectors, including electronic filing and service of process, competition and anti-trust laws and work with the General Counsel to ensure company-wide compliance while proactively advising on legal implications.
- Data Privacy and Security: Advise on data privacy laws, regulations, and best practices, ensuring compliance with applicable data protection laws, including CCPA. Develop, implement, and monitor privacy policies and procedures.
- Risk Management: Identify legal risks and develop strategies to mitigate them. Provide proactive legal advice to various business units and management teams.
- Employment: Partner with HR on employment issues with the support of the General Counsel and external counsel as required.
- Intellectual Property Protection: Manage intellectual property matters, including trademarks, copyrights, and patents. Conduct IP due diligence for new products and technologies.
- Mergers and Acquisitions: Assist with term sheets, letters of intent, NDAs, due diligence, and drafting and negotiating transactional documents with support of external counsel as needed.
- Company Secretarial: Assist the global company secretary with local filings, resolutions, consents, annual reports and maintain ‘good standing’ status of US entities.
- Special Projects: Assist with ad hoc legal projects as assigned by the Group General Counsel or executive leadership team.
- JD from an accredited law school; admitted to at least one U.S. state bar (California preferred or eligible for Registered In-House Counsel)
- 8–10+ years of combined law firm and in-house experience, with a focus on technology transactions—ideally in legal tech or related services
- Strong knowledge of contract law, intellectual property, and data privacy regulations
- Proven ability to draft and negotiate complex commercial agreements
- Experience managing litigation and working with external counsel
- Experience preparing a company for IPO readiness is highly desirable
- Exceptional communication, negotiation, and interpersonal skills
- Strategic and decisive, with the ability to work independently and collaboratively in a fast-paced environment
- Business-minded legal advisor with strong analytical and problem-solving skills and keen attention to detail
- Service-oriented, with a proven ability to work cross-functionally and drive results

Compensation
The anticipated starting base pay range for this role is listed below. Base salary is not the only component of our competitive total rewards package - you may also be eligible for bonus, commissions, equity, and other benefits as described below. Actual compensation is influenced by a wide array of factors including but not limited to skill set, level of experience, licenses and certifications.
$194,00 - $328,000 base pay with $30,000 bonus
