Senior Director, Corporate Counsel

About the Role:
The Senior Director, Corporate Counsel will report directly to the General Counsel. This role will work closely with senior management to provide legal guidance and support the ongoing business activities and strategic initiatives.
Specifically, this role will be a key member of the Legal Department responsible for providing sophisticated legal advice and support on a broad range of corporate and other matters, including drafting and negotiation of complex commercial contracts, advising on corporate structure and governance, managing legal aspects of strategic transactions and investments, and overseeing licensing and other intellectual property matters.
Responsibilities:
- Deliver timely, pragmatic, and business-oriented legal counsel to senior management and across all levels of the organization.
- Identify and evaluate legal and business risks to support strategic decision-making.
- Structure, draft, review, and negotiate a wide range of complex contracts, including key vendor and service provider agreements, licensing agreements, and technology agreements.
- Provide guidance on organizational structure and governance matters.

- Working closely with the CFO and tax counsel, provide guidance on federal and state tax issues impacting the business.

- Oversee the intellectual property portfolio, including negotiation of index and data license agreements, and support of the trademark, copyright, and patent filings.
- Support business development and product development initiatives by providing proactive legal input and guidance.
- Independently initiate projects, drive process improvements, and enhance the Legal Department’s efficiency and effectiveness.
- Manage and coordinate with outside counsel to optimize resources and achieve favorable outcomes.
Qualifications:
- Juris Doctor (JD) degree and membership in good standing with a state bar.
- 15+ years of relevant legal experience in the asset management industry in a sophisticated in-house environment or law firm.

Position Overview
We are hiring a Transaction Counsel to own the closing process across our credit platform. This person will manage multiple live transactions simultaneously, draft and negotiate loan and joint-venture credit documents, and build the transaction management infrastructure as we scale. The right candidate is a transactional real estate attorney who has spent meaningful time on the lender side — someone who can close a construction loan, negotiate a preferred equity agreement, and manage a bridge loan closing without relying heavily on outside counsel.
This is not a staff counsel role. You will be the single point of accountability for transaction execution quality across all deal types. You will work directly with our deal principals, our Senior Director of Finance, and our Investment Committee. You will inherit a library of form documents and improve upon them. You will close deals while building the systems that let us close more.
Key Responsibilities:
- Manage the full closing process across bridge loans, construction loans, preferred equity, and mezzanine debt transactions — from term sheet execution through funding.
- Draft, negotiate, and finalize loan agreements, guaranties, LLC operating agreements, construction disbursement agreements, and related credit documentation.
- Partner with deal principals on multifamily and industrial credit transactions, serving as their closing counterpart across asset classes.
- Build and maintain the firm’s transaction document library — standardize templates, codify deviation protocols, and reduce outside counsel dependency over time.

WHAT YOU BRING TO THE TABLE

The Labor and Employment Counsel will serve as the primary legal advisor on all employment and labor matters for Relay Resources. This role will lead employee and union relations strategy and compliance with federal and state employment laws. The role will partner with Relay Resources HR leadership to foster a disability-centric, inclusive, and legally compliant workplace. Key Responsibilities
Labor Relations Leadership
- Serve as the lead strategist promoting collaborative labor relations and the lead negotiator for collective bargaining agreements.
- Manage union relationships with SEIU (Service Employees International Union) and LIUNA (Laborers’ International Union of North America), and ensure compliance with labor contracts.
- Advise on contract administration, grievance handling, and arbitration processes, including strategy, resolution, and prevention.

PURPOSE OF THE JOB:
The Corporate Counsel is responsible for assisting the General Counsel and Deputy General Counsel in executing their duties to protect the HomeVestors brand and ensuring a best-in-class experience for our independently owned franchises and their customers. This position will work closely with HomeVestors’ compliance, sales, accounting, IT, and operations teams, as well as with outside advertising vendors and franchisees.

ESSENTIAL FUNCTIONS:
Responsible for company agreements with franchises necessitated by the events in a franchise life cycle, including franchise agreements, franchise renewals, changes to franchise agreements, defaults, terminations, and related documentation.
Manage the work of Legal Department staff, with the assistance of General Counsel and Deputy General Counsel.

A biotech company in California is actively seeking an experienced Legal professional to join their staff as their newSenior Corporate Counsel, Employment & Public Affairs.
In this role, theSenior Corporate Counsel, Employment & Public Affairs will be responsible for focusing predominantly on legal issues distinctly related to the companys Human Resources and Public Affairs functions, including labor and employment policies, employee relations issues, litigation and dispute management, and transactional support.
This is a Hybrid role requiring the qualified professional to be onsite at least 3 days a week (Monday, Wednesday, and Thursday are mandatory).
Responsibilities: TheSenior Corporate Counsel, Employment & Public Affairs will: Provide general legal and contracting support to the companys Human Resources and Public Affairs teams Advise and counsel senior management and the HR team concerning the satisfactory resolution of employment law issues, internal investigations, audits, pre-dispute conflicts, employment law claims, arbitrations, and labor relation matters Collaborate closely with stakeholders to evolve scalable employment policies and programs, such as within the companys employee handbook and through its benefit offerings Work closely with, and act as a liaison with the Outside Counsel to ensure that the companys senior legal leadership obtains appropriate specialized support and manages risk effectively Draft, revise, negotiate, and manage a wide range of contracts in support of day-to-day operations of the company Advise the Contracts Managers on complex negotiations and provide additional training in subject matter areas as necessary Take a leadership role in the continuity and improvement of the quality, efficiency, and effectiveness of contract drafting, negotiation, processes, and procedures Perform other duties, as needed Qualifications: 6+ years of experience as a Counsel within a Law firm and/or In-House Legal environment Bachelor's Degree Juris Doctorate Admission to practice Law Experience in Employment and Labor disputes Client counseling experience Computer savvy Microsoft Office proficient(Word, PowerPoint, Excel).

Our Ideal Candidate
WellRithms is looking to add a talented and experienced In-house Counsel to our expanding Workers' Compensation team. The In-House Counsel will manage and oversee workers' compensation claims and handle various litigation matters for the company. The role is primarily remote; however, the In-house Counsel must be flexible to manage travel schedules and attend to in-person requirements, ensuring that the case is represented professionally and effectively. The In-house Counsel will report directly to the Litigation Management Director.
Responsibilities
- Manage a substantial portfolio of workers' compensation cases, overseeing the entire lifecycle from initial case intake through resolution, including reviewing claims, gathering evidence, filing necessary paperwork, and ensuring compliance with relevant state laws and regulations.
- Effectively handle the process of appealing cases when necessary, navigating the legal complexities of workers' compensation law, and working to secure favorable outcomes.
- Perform comprehensive legal research to support case strategies, utilizing case law, statutes, and administrative regulations specific to workers' compensation law.
- Negotiate with opposing parties, insurance companies, and other stakeholders to reach settlements or resolve disputes efficiently while protecting the client's best interests.
- Prepare and file all necessary legal documents, including pleadings, motions, and discovery requests and responses, ensuring that all documents comply with legal requirements and deadlines.
- Draft clear, concise, and persuasive legal briefs and motions that support the client's position.
- Handle filing appeals when necessary, articulating compelling arguments to higher courts or administrative bodies.
- Attend hearings, depositions, and mediations and interact with opposing counsel, witnesses, and experts, working to achieve favorable resolutions or gathering critical information to strengthen the case.
- Collaborate closely with the paralegal and legal teams to develop and implement effective trial strategies.
- Be prepared to travel as required for court appearances, depositions, and hearings.
Qualifications
- Law degree from an accredited ABA law school and active license to practice law in Missouri.
- Minimum of 5 years’ experience in workers' compensation law and litigation, with hands-on expertise navigating Missouri’s legal landscape and regulations.
- Proficient understanding of Missouri workers' compensation law, litigation procedures, and legal risk management.
- Proven expertise in trial advocacy and appellate litigation.
- Knowledge of medical terminology and procedures.
- Advanced knowledge of state rules of evidence and rules of civil and appellate procedure.
- Excellent communication and negotiation skills with the ability to clearly explain complex legal concepts.
- Ability to handle large caseloads and prioritize multiple deadlines.
- Communicate effectively with clients, opposing counsel, and ALJs, as well as build strong relationships and rapport with clients and colleagues.
- Exceptional at dissecting complex legal issues with keen analytical thinking.
- Ability to work independently, remotely, and effectively with other professionals.
- Must reside in St. Louis, Missouri.
