GENERAL POSITION SUMMARY:
The Buyer is responsible for quoting and purchasing a large variety of commodities from numerous vendors for JAE
Japan and JAE Shinshu. This individual will act as a mediator to resolve problems between Japan customers and vendors. The Buyer will need to have knowledge of harmonize code, U.S. export regulations and laws, and will be responsible for filing ITAR/DOS license applications.
MAJOR ACCOUNTABILITIES:
The Buyer’s responsibilities include purchasing for exporting products to JAE Japan/Shinshu with high quality service and communication ability to our customers and suppliers. The Buyer generates correspondence relevant to both JAE Japan/Shinshu interface and vendor purchasing activities and will be involved with the development and maintenance of relations with both JAE Japan/Shinshu and suppliers.
The Buyer needs to have knowledge of harmonized code, U.S. export regulations and laws and may be responsible for filing ITAR/DOS license applications.
Duties includes data entry, filing and generation of correspondence relevant to purchasing activities. The Buyer will need to have knowledge to initiate and maintain advanced purchasing techniques such as letters of intents, forecast buys, and blanket orders, etc.

Your Mission
We are seeking an experienced, strategic, and dynamic General Counsel to serve as a key member of our executive leadership team. You will be responsible for leading our global legal, compliance, regulatory affairs, and corporate governance functions. Your primary mission is to lead and successfully execute our planned US public listing and, in the process, build a world-class legal and risk management framework capable of supporting our global scale and growth.
Key Responsibilities
1. Capital Strategy and IPO Execution (Primary Focus)
- Lead the US IPO Process: Take full ownership of all legal aspects of the company's Initial Public Offering (IPO) on a US stock exchange (e.g., NYSE or NASDAQ).
- Strategic Advisor: Act as the chief legal advisor to the executive team and Board of Directors on all IPO-related matters, including structure, timeline, compliance, and risk.
- External Counsel Management: Lead, coordinate, and manage relationships with external legal counsel, underwriters, auditors, and other advisors involved in the IPO.
- Document Drafting and Review: Oversee and deeply engage in the preparation, review, and finalization of all IPO-related legal documents, including the registration statement (F-1), governance charters, and more.
- Ensure Compliance: Ensure the company's full compliance with all SEC and other relevant regulatory requirements before, during, and after the public listing.
2. Legal and Compliance Leadership
- Corporate Governance: Establish and maintain robust corporate governance standards for a public company, supporting the Board of Directors and its committees (Audit, Compensation, Nominating & Governance).
- Compliance Framework: Build and enhance a global compliance program covering anti-corruption (FCPA), antitrust, trade compliance, data privacy & security (GDPR, CCPA), and export controls.
- M&A and Financing: Lead legal due diligence, structuring, negotiation, and execution for strategic investments, financing rounds, joint ventures, and M&A transactions.
- Commercial Contracts: Guide the team in reviewing and negotiating complex commercial agreements, including global strategic partnerships, major sales and procurement contracts, and technology licensing agreements.
- IP Strategy: Work closely with the technology team to develop and implement a global intellectual property strategy, managing patents, trademarks, copyrights, and trade secrets.
- Dispute Resolution: Manage significant litigation, arbitration, and other dispute resolution proceedings.
3. Team Management and Strategic Collaboration
- Build, mentor, and lead a high-performing global legal team.
- Act as a key member of the executive team, actively participating in strategic decision-making and providing proactive legal and risk counsel.
- Collaborate closely with cross-functional departments (Finance, HR, Business Development, R&D) to support overall business objectives.
Qualifications
Mandatory Requirements:
- Juris Doctor (J.D.) or equivalent law degree from a recognized law school in the US, China, or other common law jurisdiction, with active bar membership in good standing.
- A minimum of 15 years of legal experience, including a senior role at a top-tier law firm or as in-house counsel at a high-growth multinational technology company.
- Must have a proven track record of leading at least one company through a complete US IPO process and deep familiarity with post-IPO ongoing compliance obligations.
- Extensive expertise in US securities laws, Sarbanes-Oxley Act (SOX), and stock exchange listing rules.
- Demonstrated excellence in corporate governance, M&A, complex commercial negotiations, and compliance management within a multinational context.
- Outstanding communication, negotiation, and leadership skills in both English and Mandarin Chinese, with the ability to effectively liaise with internal and external stakeholders.

ABOUT THE OPPORUNITY/WORK
The Intensive Care Coordinator in the Specialized Services for Youth department provides coordination using the Intensive Care Coordination with Wraparound (ICCW) model and assumes the responsibilities common to all direct service and administrative positions as described in the Agency Manual. The Intensive Care Coordinator will develop and use the various modalities of service offered by the agency. This position reports to the ICCW Supervisor in the Specialized Services for Youth department.
- Provides Intensive Care Coordination utilizing Wraparound fidelity to identify strengths, assess for needs, and develop plans with a caseload of youth and their families. These children and adolescents qualify for the highest level of care in the community per Community Mental Health guidelines and meet the eligibility for a Serious Emotional Disorder (SED).
- Provides services primarily in the home of the family, community or occasionally via tele-health, depending on the youth and family’s needs and as appropriate to the stage of ICCW, per the Medicaid provider manual requirements.
- Expect to work at minimum two evenings a week to accommodate school and work schedules of assigned families.
- Provide appropriate services, ICCW and/or Targeted Case Management (TCM), in accordance with Medicaid provider manual guidelines. Typical caseload size is 10-12 ICCW cases, with numbers changing depending on caseload mix (ICCW and TCM cases) and may be subject to change based on program and individual needs.
- Obtain, analyze and evaluate case data looking for individualized strengths and needs; develop an understanding of unique family situations and develop collaborative goals.
- Facilitate the team planning process and alter the plan as new strategies emerge.
- Work with the whole family; to have a good understanding of the family dynamics and how this may impact the identified youth.
- Empower individuals and families to advocate on their own behalf and utilize their natural support networks.
- Provide referrals or assistance within the social determinants of health, including physical health, cultural, employment, educational, social or financial needs.
- Maintain records in accordance with the Agency, accreditation, Oakland Community Health Network (OCHN), and Michigan Department of Health and Human Services (MDHHS) standards and requirements. Maintain all records in the Electronic Medical Record (EMR) within timeframes required by OCHN and MDHHS.
- Coordinate cases with child and family team members including professional supports such as therapists, psychiatric staff, peer specialists, Community Living Supports (CLS)/respite providers, school staff, probation, courts, protective services, OCHN, physicians etc. as well as natural supports such as grandparents, neighbors, friends, etc. to build a well-rounded and comprehensive network of support to assist individuals and families in meeting their goals .
- Participate in required trainings in accordance with the requirements of the agency, state of Michigan, funders, OCHN and the MDHHS Medicaid provider manual.
- Perform the administrative tasks related to assigned caseload and other work assignments as required by the agency by effectively utilizing the various tools provided by the program and/or the electronic healthcare record system. This includes effective and efficient management of their individual caseload; completing documentation and responsibilities related to their caseload in adherence with OCHN and MDHHS protocols.
- Provide assistance, support and leadership to other staff members through consulting, teaching and other means as appropriate, and to coordinate program activities when assigned to do so.
- Operates as the primary case holder for SED-Waiver individuals, that includes conducting a comprehensive assessment of individuals’ non-treatment needs, developing case management aspects of Individual Plan of Service/Family Plan of Service (IPOS/FPOS), crisis planning, annual assessment, coordinating services on the IPOS/FPOS by linking individual/family with community based-services, coordinating with other service providers and assisting with care coordination out-of-home placements (ie. in-patient hospitals or Children’s Village) as appropriate.
- Responsible for incorporating principles of diversity, equity and inclusion in work processes and in job functions. Responsible for promoting a feeling of welcoming, belonging, and acceptance to all clients and staff.

3. What you’ll do
You'll own the full sales cycle at Peerbound, from first touch to signed contract. You'll work directly with our CEO and Head of Sales to build the enterprise motion from the ground up. This is not a role where you inherit a book of business; this is a role where you create one.
Build pipeline from scratch. Prospect into Marketing leaders at B2B SaaS companies. Generate your own opportunities through outbound, events, and relationships. While you will have SDRs helping you, you will not be successful if you can’t fill your own pipeline. You'll also have a great product built by a world-class engineering team, strong positioning, and the freedom to be creative about how you fill the funnel.
Run and close complex deals. Lead executive-level discovery. Tell a compelling story about why customer proof points are the next competitive battleground. Articulate clear value and ROI to every buyer you sell to. Navigate multi-threaded procurement cycles across security, legal, procurement, and finance. Close real contracts with real urgency.
Shape the playbook. Every process, every template, every lesson learned will have your name on it. Feed buyer insights back into product, marketing, and GTM strategy. Our sales team will be built on the foundation you lay.
4. Who you are
5+ years of full-cycle B2B SaaS sales, with experience closing five-figure and six-figure deals. You've carried a $1M quota and you know the difference between forecasting a deal and actually closing one. You can sell to VPs and C-suite buyers and you can sell change, not just software.
You have a quantifiable, consistent track record of outperformance in your career. You can build pipeline without relying on inbound or SDRs. You know how to create urgency, build relationships, and stay disciplined operationally. You crave the pace, ambiguity, and autonomy of a startup-up where you have to figure things out yourself.

Position Overview
We are seeking a high-performing Account Executive with a strong hunter mentality to drive new business growth. In this role, you will own the entire sales cycle—from prospecting to close—within your territory, building and managing a robust pipeline while delivering tailored solutions to healthcare and aesthetic practices.
