Role Summary:
The Legal Counsel serves as MillerClapperton’s in-house legal advisor, responsible for providing legal guidance, risk assessment, and advisory support across the Company’s project agreements and broader business matters. This role partners closely with executive leadership, Preconstruction, and Project Management to ensure the Company’s legal interests are protected, its project agreement positions are sound, and its operational teams are equipped to act proactively and decisively.
This position is a senior individual contributor role with advisory authority and does not include direct people management responsibilities. Responsibilities:
General Legal Advisory & Risk Management
· Serve as the Company’s primary in-house legal resource, providing timely, practical legal guidance across construction and fabrication operations, employment matters, vendor and supplier relationships, and general corporate affairs.
· Identify, assess, and communicate legal risks and exposures to executive leadership, recommending mitigation strategies that balance legal soundness with business objectives.
· Proactively monitor changes in applicable laws, regulations, and industry standards that may affect Company operations or project agreement positions.
· Support executive leadership in making well-informed decisions on high-stakes matters by preparing concise legal analyses, summaries, and recommendations.

Project Agreement Review, Negotiation & Interpretation
· Serve as the Company’s internal authority on all project agreement matters, including reviewing, analyzing, interpreting, and negotiating subcontract agreements, purchase orders, order confirmations, and sub-subcontractor agreements.
· Establish and maintain approved project agreement positions, fallback language, and negotiation standards to ensure consistency and legal soundness across all projects.
· Advise Preconstruction and Project Management teams on project agreement rights, obligations, risk allocations, and the practical implications of key provisions.
· Identify recurring or high-risk project agreement terms and develop systematic strategies to address them in the Company’s favor.
· Ensure that executed project agreements accurately reflect negotiated positions and business intent.
Project Management Support & Contractual Notices
· Partner with Project Managers, Senior Project Managers, and Project Management leadership to interpret project agreement provisions and translate legal obligations into clear, actionable guidance for operational teams.
· Champion a proactive contractual notice culture by educating teams on notice rights and requirements, identifying notice opportunities, and ensuring timely, properly supported notices are issued in accordance with project agreement terms.
· Draft, review, and approve contractual notice letters (both proactive and reactive), serving as a required compliance checkpoint for content accuracy, project agreement alignment, and legal sufficiency prior to issuance.
· Provide guidance on escalation strategies for disputes, claims, and high-risk contractual situations, including recommended courses of action and supporting documentation requirements.
Outside Counsel Management & Legal Coordination
· Serve as the primary internal liaison for all outside legal counsel relationships, managing the scope, timing, and cost of outside legal engagements.
· Prepare materials, organize key facts, and synthesize outside counsel recommendations for executive review to enable efficient and cost-effective decision-making.
· Proactively identify matters that can be handled in-house versus those requiring outside expertise, with the explicit goal of reducing outside legal spend over time.
· Maintain organized records of legal matters, correspondence, project agreements, and related documentation.
Process Improvement & Legal Standards Development
· Continuously evaluate and improve project agreement templates, legal review workflows, notice processes, and internal documentation standards.
· Build and maintain a practical legal knowledge base that empowers operational teams to make informed day-to-day project agreement decisions without unnecessary legal escalation.
· Promote a culture of project agreement discipline, proactive risk management, and consistent legal practice across the organization.
Qualifications:
Required:
· Juris Doctor (JD) from an ABA-accredited law school.
· Active license to practice law in the State of Georgia, in good standing.
· Demonstrated experience reviewing, drafting, and negotiating commercial project agreements.

KEY RESPONSIBILITIES
New Client Response & Initial Contact

• Track the status of all outstanding medical record requests across the entire caseload, following up with providers by telephone, fax, and certified mail as needed to obtain timely responses.
• Review received records for completeness; organize and index all medical records, bills, and treatment summaries chronologically within each client file for attorney review and demand preparation.
• Engage and manage a dedicated medical records retrieval service (such as Record Retrieval Solutions, Compex Legal Services, MedQuest, or equivalent vendor) to systematically obtain records from all treating providers, ensuring requests are initiated promptly, tracked through completion, and delivered in a format ready for attorney review.
• Maintain a master tracking log for all medical record requests, receipt dates, and outstanding items across the full caseload.
• Request updated billing records, itemized bills, and medical liens as the case progresses and upon case resolution.
Medical Scheduling & Care Coordination
• Schedule all initial and follow-up medical appointments for clients with treating physicians, specialists, chiropractors, orthopedists, neurologists, pain management providers, and other healthcare professionals as directed.
• Coordinate with lien-based and letter-of-protection medical providers to ensure clients without insurance have access to necessary treatment throughout the pendency of the case.
• Monitor client compliance with treatment plans, proactively following up with clients who have missed appointments or discontinued care, and documenting all communications.
• Facilitate referrals to independent medical examiners (IMEs), expert witnesses, or other evaluating providers when required for litigation purposes.
• Maintain a master medical appointment calendar for all active clients, ensuring no scheduled appointments are missed and providing timely reminders to clients.
• Coordinate transportation or other accommodations for clients who need assistance attending medical appointments when applicable.
Litigation Management & Supervision
• Oversee and actively manage the full lifecycle of complex and catastrophic personal injury and products liability cases from inception through resolution, including pre-litigation investigation, discovery, expert retention, dispositive motions, and trial preparation.
• Supervise, mentor, and direct a team of paralegals, legal assistants, case managers, and support staff, delegating tasks appropriately and ensuring quality control across all assigned files.
• Apply substantial working knowledge of products liability law, catastrophic injury litigation, and complex tort practice to drive case strategy, identify liability theories, and anticipate defense arguments across a high-stakes docket.
• Coordinate all phases of formal discovery, including drafting and responding to interrogatories, requests for production, and requests for admission; manage document production and privilege review in coordination with supervising attorneys.
• Identify, retain, and manage expert witnesses — including medical, biomechanical, engineering, accident reconstruction, and economic damages experts — ensuring timely disclosure and proper preparation in accordance with applicable rules and court orders.
• Maintain and enforce firm-wide litigation calendars, court-ordered scheduling deadlines, and internal case milestones; monitor dockets across all active cases to ensure no deadlines, hearings, or filings are missed.

REQUIRED QUALIFICATIONS

Innovative Driven is currently seeking an experienced Conflicts Attorney to assist the team at one of our most well-respected law firm clients, on a contingent basis, ongoing. The firm prides itself on its strong reputation for client service in high-stakes and complex matters
The role will be hybrid, with one day a week onsite in San Francisco. Hours are expected to be 8-5 or 9-6, Monday through Friday. The position offers hourly pay, and it is expected to extend on an ongoing basis.
RESPONSIBILITIES:
- Independently oversee conflicts clearance for complex matters, including lateral partner and group hires, sensitive client engagements, and risk issue
- Serve as an escalation point for complex or novel conflicts and governance issues
- Draft, review, and negotiate conflicts waivers, engagement letters, and related agreements to ensure alignment with policies, ethical requirements, and risk tolerance.
- Review and advise on vendor agreements and third-party relationships
- Review client outside counsel guidelines and engagement agreements
- Assess risk implications, and draft/negotiate appropriate responses.
- Support risk management initiatives, including cross-functional projects involving Information Security, IT, Records, Finance, and Compliance.
- Maintain deep and current expertise in the ABA Model Rules of Professional Conduct
- Advise attorneys and professional staff on governance matters, including conflicts, ethical walls, retention and disposition, and engagement requirements
- Conduct and supervise legal research related to conflicts, ethics, lateral hiring, records disposition, and related governance issues; provides clear, practical guidance based on research findings.

Our client, a boutique litigation law firm located in Haverford on the Philadelphia Main Line, is seeking a sharp junior Litigation Associate Attorney with 1–2+ years of experience AND a mid-senor level litigation lawyer with 3-5+ years of experience to support complex federal and commercial litigation matters. This is a hands-on role with meaningful responsibility early, working on sophisticated disputes for Fortune 500 transportation clients with matters that can involve cutting-edge legal issues. Federal and national litigation experience is strongly preferred. NOT insurance defense. Reasonable billables around 1,800 hours/year that includes plaintiff, flat-fee, and billable.
Key Responsibilities
• Develop and execute strategic case plans through detailed legal and factual analysis
• Draft, review, and file pleadings, motions, discovery materials, and legal memoranda
• Manage written discovery, including discovery disputes and case development
• Take and defend depositions; prepare witnesses and support hearings as needed
• Appear in court for hearings and proceedings, primarily in federal court settings
• Collaborate closely with clients and co-counsel to align on national litigation strategy
• Research and apply federal law to a range of disputes, including transportation and construction-related matters
• Provide practical guidance to help clients mitigate risk and resolve complex legal issues
• Stay current on federal litigation developments and emerging issues impacting active matters
• Support client relationship-building through clear, professional communication
Qualifications
• J.D. (Juris Doctor) from an ABA-accredited law school
• Active bar license in good standing (Pennsylvania, NJ a plus)
• 1–2+ years (OR 3-5+ years) of commercial litigation experience; federal litigation strongly preferred
• Strong legal research, analysis, and writing skills with high-quality work product
• Confident oral advocacy skills (or a demonstrated desire to grow quickly with real reps)
• Ability to manage matters independently with strong organization and follow-through
• Collaborative, team-oriented mindset with a client-service approach
• Interest in learning transportation law and related subject matter (prior experience not required)
Compensation & Benefits
• Competitive compensation (commensurate with experience) - 120k+ for junior, 150k+ for mid-level
