Role
The Corporate Counsel position will provide broad-based legal support across M&D Capitalโs
operations, with a primary focus on commercial contracting, healthcare regulatory and compliance

and litigation coordination. This role will work closely with the General Counsel and business
leadership and will interact regularly with clients, vendors, and outside counsel.
Key Responsibilities
โข Review, revise, and negotiate a broad range of commercial agreements, including service
agreements, NDAs, BAAs, and vendor contracts.
โข Provide reliable and timely legal support to legal and business teams regarding federal and
state healthcare law impacts to operations, strategic initiatives, and regulatory inquiries or
complaints.
โข Advise on healthcare reimbursement, insurance/payor issues, and billing-related legal
matters.
โข Monitor, intake, summarize, and assess the applicability of new and existing healthcare
laws and regulations affecting M&D Capital and its clients.
โข Conduct legal research on healthcare regulatory topics and advise the business on the
interpretation and business impact of such findings.
โข Act as a subject matter resource on healthcare regulatory topics relevant to revenue cycle
management, billing, and practice operations.

legal guidance to the company.
โข Assist in monitoring and managing company and client-related litigation and disputes.
โข Coordinate with outside counsel and support strategy development.
โข Assist with healthcare transactions and strategic initiatives, including helping to
coordinate, manage, and move transactions forward in collaboration with business teams
and outside counsel.

What Weโre Looking For
โข Juris Doctor (JD) from an accredited law school; licensed to practice law in at least one
U.S. jurisdiction.
โข 3+ years of legal experience in-house and/or at a law firm, preferably with experience in
healthcare law, general corporate law, and commercial contracting.

- Filing of entry/entry summaries, customer contact, electronic PGA, prior notification, electronic FCC, USDA, TSCA billing, RLF filing all over the country.
- Provide HTS to clients, ISF filing, provide clients with air and ocean import freight quotes, research for new clients, make sure files are in compliance.
- Classify all goods being imported and then request or compile the necessary documentation, including cargo-control papers, customs invoices and certificates of origin.
- Arranging for the transportation and storage of goods that have cleared customs brokers only file. Communicate with the customer service team for proper documentations.
- Know the ACE/ABI system.
- Monitor all processes and ensure compliance to all Federal regulations and custom duties.
- Coordinate with various departments and maintain compliance to all import operations.
- Prepare required documents and procedures according to company standards and ensure compliance to service requirements.
- Ensure that freight paperwork are completed and approved before transportation.
- Maintain knowledge on all industry rules and regulations and perform all custom duties.
- Uphold a strong and professional relationship with transportation agencies and sales.
