Job Description
Our client is seeking a mid-to-senior level Corporate Trust/Securities associate or counsel for its expanding Corporate Trust practice for its law firm practice.
Key Responsibilities:
- Trust Indenture Act qualified transactions
- Rule 144A and Reg S offerings
- Debt restructurings
- Corporate and municipal bond financings
- Asset-backed and mortgage-backed securitizations
- Insurance linked products
- Cross-border transactions
- Project finance transactions
- Secured high-yield debt transactions
- Third-party agency appointments
This person will be responsible for drafting, reviewing and/or negotiating a variety of corporate documents including offering documents, indentures, credit agreements, trust agreements, collateral agency agreements, depositary agreements, security agreements, mortgages, control agreements, servicing agreements, administration agreements and ancillary documents thereto. The candidate will report to several partners in the group and will be exposed to a variety of areas in our corporate trust practice. The associate or counsel will have immediate interaction with clients and opposing counsel and will be responsible for assisting partners with closings.
Requirements:
- 3+ years of Corporate Trust experience
- Large firm Corporate Trust/Securities experience.
- Licensed to practice in New York.
- A member in good standing of the New York Bar Association.
- J.D. from an accredited law school with a strong academic record.
- Highly motivated with substantial growth potential.
- Superior written and verbal communication skills.
- Strong organizational skills with attention to detail.
- Ability to prioritize, multi-task, and work well under pressure.
- Have a professional demeanor with excellent judgment and willingness to take initiative.
- Ability to work both independently and collaborate as part of a larger team.
