Interim Senior Contracts Counsel
Job Description
Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for an Interim Senior Contracts Counsel (100% Remote) with a focus on procurement, technology and general offshore, international agreements. Negotiating and drafting complex third party supplier agreements.
Overview: Our client is seeking an Interim Senior Contracts Counsel fulltime (40 hours) for 6+ months. These will be master level agreements like master services agreements, online services agreements, trading platform agreement that tend to be on supplier paper or moved to our client’s paper.
Company: One of the largest financial institutions in the United States.
Experience:
- 10-20+ years experience focused on complex commercial transactions with a focus on vendor agreements, online service agreements, trading platform agreements and master service agreement
- Technology Transactions experience
- Experience with complex deal making with a high volume of contracts
- Experience assessing and memorializing risk
- Inhouse and Big law or mid-major law firm experience
- Large Company experience a plus
- Experience with Microsoft Office; familiarity with Ariba and Archer a plus
- Proven ability to manage a large number and variety of mission-critical projects, working independently and collaboratively
- Exceptional written and verbal communication skills
- Must be swift and can think through matters without guidance
Location: Charlotte, North Carolina
Responsibilities Include:
- Draft and negotiate without assistance complex technology transaction contracts with vendors, strategic partners, and subcontractors.
- Responsible for drafting and negotiating contracts with client’s third-party service providers for a wide variety of services and products, including, but not limited to, master services, online hosting platforms, outsourcing, consulting, and cloud based services.
- Responsible for preparing a deviation document to explain the risk to the line of business who must sign off on the risk (via a contract summary and then contract risk rating from client’s database).
- Work with multiple stakeholders to ensure that all legal, regulatory, data security, privacy, and related risks are appropriately identified and addressed in third party supplier contracts.
Qualifications Include:
- J.D. degree and membership in good standing in at least one state bar
- International and off-shore contract negotiation experience a must.
- Experience drafting and negotiating BPO Agreements (Business Process Outsourcing Agreements)
- Ability to visit downtown Charlotte office 4-5 days per week
