Interim In-House Financial Services Counsel
Job Description
Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for a fulltime Interim In-House Counsel in the New York City Metropolitan Area.
Overview: A Large Global Financial Institution seeks a long-term temporary In-House Counsel to assist on Global Transactions.
Company: Large Global Financial Institution
Experience: 3-5+ years as in-house counsel and/or in private practice
Location: NYC Hybrid (3 days per week in office)
Responsibilities Include:
- Project management of jurisdictional advice and coordination of summaries and updates to the advice from local external counsel.
- Review of disclaimers across index products
- Review of index rulebooks, governance materials, risk disclosures, index descriptions, license agreements, hedging agreements, index marketing materials, insurance company materials, NDAs
- Review of business asks, analyze and provide summaries of legal and regulatory risks and concerns
- Market surveys of peer issuers and broker-dealers relating to specific asks from the businesses
- Analysis of new business proposals, including under Investment Company Act, Investment Advisors Act and other securities laws
- Drafting, reviewing and negotiations of structured product program offering documents, review of forms of offering documents, analysis of legal and internal policy and procedure implications for questions and events with respect to such products, legal research relating to agreement negotiations
- Assist in the creation and maintenance of spreadsheets to support team organization, including tracking indices.
- Update and maintain standardized agreement templates and monitor associated management systems to ensure accuracy, consistency, and compliance across workflows.
Qualifications Include:
- J.D. degree from an accredited law school and active membership in a U.S. state bar
- Minimum 3-5 years of legal practice with a focus on Derivatives
- Strong background in financing transactions and product coverage
- Excellent analytical, negotiation, and communication skills
- Comfort operating in a fast-paced, highly collaborative environment
- Prior in-house experience at a financial institution or major law firm experience
- Familiarity with global regulatory frameworks affecting repo or derivative products
- Strategic thinking with sound judgment and attention to detail
