Position Overview

Our client is seeking a senior transactional attorney with substantial experience in corporate finance, private placements, private capital markets transactions, and complex entity governance to assume a key role within its Corporate Practice Group. This position replaces a long-standing role previously held by an equity Member and offers significant responsibility, autonomy, and long-term advancement potential.

The role is well suited for an attorney who focuses on capital formation and governance for privately held companies and investment vehicles, values in-person collaboration, and can independently manage sophisticated financing matters.

Key Responsibilities

Corporate Finance & Capital Markets

• Lead and execute private placements and other capital-raising transactions, including equity, preferred equity, convertible securities, and debt financings.
• Advise issuers and investors on securities law compliance, offering exemptions, disclosure obligations, and risk considerations.
• Draft, review, and negotiate offering memoranda, subscription agreements, investor rights agreements, and related financing documentation.
• Coordinate transaction closings with clients, investors, placement agents, financial advisors, and accounting professionals.

Entity Formation & Governance

• Draft, review, and negotiate complex LLC operating agreements, shareholder agreements, partnership agreements, and related governance documents.
• Advise clients on governance structures, control provisions, fiduciary duties, investor rights, and exit mechanisms.
• Support ongoing corporate governance matters, including amendments, restructurings, and ownership changes.
• Counsel clients on alignment of governance terms with financing and capital structure objectives.

Client Advisory & Relationship Management

• Serve as a trusted legal and business advisor to executives, founders, boards, and investors.
• Provide strategic guidance regarding capital structure, governance, and investor relations.
• Communicate complex legal and financial concepts in a clear, practical manner.
• Maintain and grow long-term client relationships.

Firm Collaboration & Leadership

• Work closely with other partners and practice groups on cross-disciplinary matters related to corporate finance and governance.
• Mentor associates and contribute to professional development within the Corporate Practice Group.
• Participate in business development and firm initiatives.

Candidate Qualifications

• 8+ years of relevant experience in corporate finance, private placements, private capital markets, and entity governance
• Demonstrated ability to independently manage complex financing and governance matters
• Significant experience drafting LLC operating agreements and other sophisticated governance documents
• Experience advising middle-market companies, private investors, funds, or sponsors
• Strong drafting, negotiation, and analytical skills
• Excellent client communication and project management capabilities
• Pennsylvania Bar admission (or ability to obtain promptly)

Position Summary:

We are seeking a Senior Data Architect to lead the design, modernization, and operational excellence of our enterprise data platform. This role blends hands on data architecture with cloud and on prem platform engineering, reliability, and DevOps practices.

The ideal candidate brings deep experience designing scalable data solutions, modernizing database environments, implementing automation and CI/CD pipelines, and driving platform reliability across mission critical systems. This role requires both strategic architectural thinking and hands on implementation across cloud services, relational databases, automation tooling, and enterprise system integrations.

Data Platform Architecture & Modernization

• Designing monitoring frameworks using tools such as CloudWatch, New Relic, or equivalent
• Optimizing cloud infrastructure costs while maintaining performance and reliability
• Supporting secure access patterns, identity management, and operational governance

DevOps & Platform Reliability

• Implementing CI/CD pipelines for data and database deployments (Azure DevOps or similar)
• Establishing version control and automated deployment standards for data environments
• Improving SDLC processes for database and data platform releases
• Ensuring high system availability (99.9%+ targets) and proactive incident management
• Supporting incident response processes and RCA for data related systems and/or outages

Database Architecture & Performance Optimization

• Designing relational database schemas for scalability and performance
• Clearly define and implement indexing, partitioning, and query optimization standards
• Implementing backup, disaster recovery, business continuity and high availability strategies
• Guiding database tuning and performance monitoring practices

Governance & Technical Leadership

• Establishing data architecture standards and naming conventions
• Driving platform documentation and operational best practices
• Partnering with application, infrastructure, and analytics teams
• Serving as technical authority across data centric initiatives
• Mentoring engineers through design reviews and architecture governance

To be qualified for this position, you must possess the following:

• 8+ years of experience in data architecture, cloud engineering, or platform focused roles
• Strong experience with designing, implementing, and maintenance of data solutions across on-premises and cloud platforms (Snowflake/Databricks/MS Fabric, and SQL Server)
• Advanced SQL proficiency and strong Python coding skills
• Proven experience modernizing enterprise database environments
• Experience implementing CI/CD pipelines for data platforms, preferably Azure DevOps
• Strong understanding of database performance tuning and availability design
• Experience designing systems for high availability and operational reliability

The following skills are preferred, but not required:

• Experience with CDC, streaming, or event-driven ingestion architectures is a plus
• Familiarity with enterprise CRM (Salesforce, home grown) or billing platforms (Great Plains, Dynamics) and data integration across these as data sources into a cloud DWH
• Experience with Elasticsearch or similar search/indexing platforms
• Knowledge of cost optimization in data cloud environments – across storage, usage and data accessibility

General Description: We are seeking a Sr. Electrical Engineer (PE Required) for our Chadds Ford or Philadelphia office! Breast Imaging Radiologist

Job Description Summary

A recognized leader in breast imaging for more than 50 years, Jefferson Einstein has been at the forefront of advanced mammography—helping pioneer Digital Breast Tomosynthesis, becoming one of the first institutions nationwide to fully transition to 100% digital breast imaging, and introducing Molecular Breast Imaging (MBI) to the region using the lowest radiation dose available.

We are seeking a fellowship-trained Breast Imaging Radiologist to join a collaborative, high-performing team of radiologists within an accredited Breast Imaging Center of Excellence.

The Position

• No nights or call responsibilities
• Comprehensive breast imaging practice including:
• Digital Breast Tomosynthesis
• Breast Ultrasound
• Breast MRI
• Image-guided biopsies and procedures
• Annual volumes:
• ~27,000 screening mammograms
• ~16,000 diagnostic mammograms
• ~2,200 biopsies/procedures
• Technology & systems:
• Hologic mammography equipment with SmartCurve™ technology
• Philips ultrasound
• DynaCAD for breast MRI
• Web-based PACS with digital tomosynthesis
• System-wide implementation of Sectra PACS planned for 2026, further enhancing workflow efficiency, image quality, and enterprise-wide collaboration
• Practice setting:
• Coverage across 2 hospitals and 3 outpatient imaging centers
• NAPBC-accredited program
• Academic involvement:
• Teaching opportunities within a premier radiology residency program (24 residents)
