About the Opportunity
A growing Illinois‑based law firm is seeking a Corporate Transactional Paralegal to step in quickly and support overflow work. You’ll partner with three paralegals and multiple attorneys on corporate governance and M&A matters. This role requires someone who is proactive, highly organized, and comfortable operating independently in a fast‑paced, deal‑driven environment.
Key Responsibilities
Corporate Governance
- Maintain minute books, prepare resolutions/consents, manage annual reports, track filing calendars, and ensure compliance across jurisdictions (e.g., IL/DE)
M&A Support
- Manage diligence, coordinate signature pages, compile closing sets, and handle post‑closing tasks
Entity Management
- Assist with formations, amendments, qualifications, dissolutions, and IRS/state filings
- Order good standing certificates and certified documents
UCC & Financing
- Prepare/file UCC‑1 and UCC‑3 statements
- Coordinate lien, tax, and litigation searches
Document & Matter Management
- Manage data rooms, track document versions, and maintain organized matter files
Team Collaboration
- Support three paralegals by absorbing overflow, triaging requests, and proactively offering help
Timekeeping
- Maintain accurate daily billable time entries
Qualifications
- 5+ years of corporate paralegal experience in a law‑firm environment
- Strong background in M&A and corporate governance
- Ability to work independently with minimal supervision
- Excellent communication, organization, and follow‑through
- Proficiency in MS Office and common legal software; experience with Carta and CTA filings is a bonus
- High attention to detail and commitment to clean, timely documentation
Schedule & Work Environment
- Fully remote or hybrid in Chicago, depending on location
- Collaboration across time zones, with preference for Central/Eastern hours
- Workload may fluctuate with deal cycles
Compensation & Benefits
Hourly Rate (W‑2): $30–$50/hour, depending on experience and assignment scope
