Fund Counsel – Alternative Credit Platform (Arizona)
I am currently partnering with a highly regarded alternative asset manager with a significant presence in Arizona to appoint a Fund Counsel to its in-house legal team.
This is a senior, hands-on role sitting at the core of the firm’s fund platform. The business manages institutional capital across credit and structured strategies and continues to scale its product offering. As a result, they are looking for a commercially minded funds lawyer who can take ownership of fund structuring, fundraising execution, and ongoing governance matters.
Candidates MUST be located in, OR be willing to relocate to Pheonix, AZ before start date.
If currently based in Atlanta or NYC, the relocation can be within 12 months.
The Role:
You will work closely with investment, finance, compliance, and investor relations teams across the full lifecycle of private funds and structured vehicles. Responsibilities will include:
- Leading fund formation activities, including structuring and coordination with external counsel
- Drafting and negotiating LPAs, side letters, subscription agreements, and co-invest documentation
- Advising on capital raising initiatives and strategic investor negotiations
- Supporting ongoing regulatory and governance matters at both the GP and fund level
- Partnering with the business on new product development and bespoke structuring initiatives
- Managing relationships with external counsel in the U.S. and internationally
This is a visible position with direct interaction with senior leadership and investment professionals. Progression to Deputy GC will happen in a 3-5 year window. The legal team is lean and high-caliber, offering genuine ownership rather than a narrow execution role.
The Candidate:
I am eager to speak with attorneys who bring:
- 3+ years of strong private funds experience from a leading law firm or in-house platform
- Exposure to credit, structured finance, or alternative strategies (highly advantageous)
- Confidence managing complex investor negotiations and side letter processes
- A commercial mindset and the ability to operate autonomously in a growth environment
Arizona bar admission is preferred but not strictly required.
