Interim Fund Formation Attorney
Job Description
Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for an Interim Fund Formation Attorney.
Overview: We are seeking an experienced Fund Formation Attorney to assist our client on a part-time basis for the next 4+ months.
Company: Law firm.
Experience: 10+ years of fund formation experience within a law firm. Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Company Act of 1940 and the Investment Advisers Act of 1940 and related rules and regulations experience is required.
Location: Remote.
Responsibilities Include:
Fund Formation
- A strong working knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Company Act of 1940 and the Investment Advisers Act of 1940 and related rules and regulations
- A strong working knowledge of the Delaware Revised Uniform Limited Partnership and Limited Liability Company Acts
- A good working knowledge of market terms for private equity and venture capital funds
- Draft offering memoranda for investment funds and special purpose vehicles
- Draft limited partnership agreements and limited liability company agreements
- Draft subscription materials
- Draft side letters
- Ability to manage closings of investment funds (reviewing subscription materials, managing antimoney laundering and know-your customer questionnaires, diligence materials and signatures
Investor-Side Representation
- Review limited partnership agreements, limited liability company agreements and other governance documents for investment funds and draft comment memoranda
- Review and edit side letters
- Complete and review investors’ subscription materials
Regulatory
- Prepare and file Form ADV
- Prepare and file Form D
- Respond to correspondence from regulators
Qualifications Include:
- JD and barred in at least 1 US jurisdiction.
- At least 10 years of experience handling fund formation work within a law firm.
- Must have Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Company Act of 1940 and the Investment Advisers Act of 1940 and related rules and regulations experience.
