ESOP Compliance Attorney

A national law firm is seeking an experienced Employee Benefits Attorney with deep expertise in ESOPs (Employee Stock Ownership Plans) and executive compensation. This is an excellent opportunity to advise clients on complex benefit plan matters and mergers and acquisitions across a variety of industries.

Key Responsibilities:

• Advise plan sponsors and corporate clients on ESOP and KSOP compliance, including ERISA and IRS requirements
• Draft and negotiate executive employment agreements and incentive plans
• Review merger and acquisition agreements for ESOP-related considerations
• Counsel clients regarding compliance with Internal Revenue Code Sections 280G and 409A
• Conduct legal research and provide strategic guidance on employee benefits matters
• Collaborate with internal teams and client stakeholders to deliver high-quality advice

Qualifications:

• 8+ years of experience in employee benefits, with a focus on ESOPs and executive compensation
• Strong knowledge of ERISA, IRS regulations, and employee benefits law
• Proven ability to manage complex matters, prioritize tasks, and work independently
• Excellent written and verbal communication, analytical, and organizational skills
• Detail-oriented, professional, and motivated team player
• JD from an accredited law school with strong academic credentials
• Active bar admission in home jurisdiction or eligibility for admission
