Senior Legal Counsel – Commercial Finance

A growing legal team in the greater Chicago area is seeking a strategic, business‐oriented Senior Legal Counsel to support high‐impact commercial finance operations. This role serves as a key legal advisor and business partner, with a primary focus on equipment finance, commercial lending, and regulatory compliance. Key Responsibilities
• Lead transaction origination for equipment loans, leases, and other commercial financing arrangements
• Draft, review, and negotiate finance contracts, leasing agreements, vendor programs, capital markets agreements, and related documentation
• Monitor U.S. federal and state regulatory developments—including commercial lending, leasing, consumer protection, and data privacy—and integrate compliance requirements into business processes
• Advise on supplier management and third‐party risk, including onboarding, risk assessments, and contract performance issues
• Support a broad range of legal matters such as employment law, intellectual property, dispute resolution, compliance initiatives, corporate governance, and operational legal needs
• Partner with internal business units (Sales, Operations, Credit, Capital Markets) to provide timely, accurate legal guidance
• Manage outside counsel on transactions and litigation to ensure cost‐effective, high‐quality legal support
• Identify and mitigate legal and business risks associated with equipment leasing, lending, and complex financing structures
• Participate in department operations, including legal technology utilization, template management, and workflow optimization
• Maintain ongoing CLE with emphasis on commercial finance and regulatory trends
Key Qualifications
• Strong understanding of U.S. federal and Illinois state laws applicable to equipment finance, secured lending, and commercial transactions
• Familiarity with UCC Article 2 and Article 9, contract law, and related regulatory frameworks
• Experience with contract negotiation, commercial transactions, litigation, restructuring, workouts, and distressed asset matters
• Ability to research and interpret laws and provide practical, business‐focused legal guidance
• Strong communication skills, attention to detail, and the ability to build strong cross‐functional partnerships
• Proactive problem‐solver with strong analytical and critical‐thinking abilities
• Comfortable leveraging legal technology and modern AI tools to improve efficiency
Education & Experience Requirements
• Juris Doctor (JD)
• Licensed and in good standing to practice in Illinois, or eligible for an in‐house counsel license
• 5–8+ years of commercial finance experience, including equipment leasing and lending
• Continuous improvement mindset; experience with legal tech preferred

About the Role
We are seeking a technically curious Mechanical Engineer who thrives in a hands-on, engineering‑driven environment. This role is ideal for someone early in their career who loves understanding why things work, not just how. Expected salary range of $162,000 to $180,000, varies based on experience, along with comprehensive benefits package that includes bonus and 401(k).
Primary Purpose of Position
Responsible for execution of turbine generator outage execution project teams to support safe, reliable, and efficient outage activities consistent with Constellation and Clean Energy Center (CEC) goals. Implements standardization of outage processes and procedures across assigned Constellation CECs. Reinforces standards and expectations for Outage Planning & Services personnel and other personnel who interface with Outage Planning & Services to establish an error free and professional work environment. Always enforce procedure use and adherence, Human Performance (HU) fundamentals, Technical Human Performance (THU) techniques, and provide coaching and mentoring as necessary to achieve continuous improvement.
Primary Duties and Accountabilities
- Perform development of detailed plans, identification and assignment of personnel, and development of detailed work scope.
- Develop scope schedule and budget with the life cycle cost management system.
- Apply expert knowledge in execution of refueling outage services at assigned CEC. Provide primary communication with client CEC management and major vendor service organization.
- Direct project completion and close out of financial and technical documentation. Provide fiscal data and promote fiscal accountability among all project participants
- Responsible for continuous improvement initiatives and promoting these improvement initiatives among all project participants at CECs.
- Responsible to effectively communicate technical, financial, and work progress status to all levels of corporate and CEC management.
- Reinforce appropriate fundamental behaviors in area of assigned responsibility. Includes administering coaching, mentoring, and performance management for managers and employees
Minimum Qualifications
- Bachelor's degree with 8 years of power generation experience OR
- Associate's degree with 10 years of power generation experience OR
- High school diploma/GED with 12 years of power generation experience
- Demonstrated leadership in a minimum of 3 refueling outages
- Maintain minimum access requirements or unescorted access requirements, as applicable, and favorable medical examination and/or testing in accordance with position duties
