Position Overview

We are seeking an experienced Contracts Manager to oversee and manage full-lifecycle contract matters for a mid-sized chemical engineering project. This role will directly participate in the review of terms and conditions, negotiations, risk identification, and performance monitoring during the construction phase of the EPC Contract. The ideal candidate should have experience working on the owner’s side or with a major EPC contractor, be familiar with U.S. federal and Texas state contract law, and be capable of ensuring strong alignment between project progress, cost, and contractual terms through professional contract management.

Key Responsibilities

1. Pre-Award Phase & Terms Review

● Terms Review & Negotiation: Lead or participate in the review of terms and conditions, provide input on clauses, and engage in negotiations for EPC contracts, design contracts, and major equipment procurement agreements. Focus on risk boundaries during project execution (risk identification and terms proposal), obligations and liabilities of both parties, indemnity, limitation of liability, force majeure, change order processes, and payment terms.

● Risk Identification: Assess commercial and legal risks in contracts from the owner’s perspective, particularly ambiguities in responsibilities between the owner and contractor. Propose risk mitigation strategies for common local challenges such as hurricanes in the Houston area and supply chain disruptions.

● Contract Finalization: Lead clause negotiations with contractors, collaborating with the project manager, procurement team, engineering team, design team, project controls department, and internal/external legal counsel to ensure the final contract text accurately reflects the project scope and commercial intent.

2. Construction Performance & Compliance Monitoring

● New Payment Application Review: Strictly review contractor submissions (including change requests, delay claims, formal correspondence, and payment applications) for compliance with contract requirements. If submissions do not align with contractual rights and obligations, lead drafting responses and interfacing with the contractor.

● Delay Analysis: Collaborate with the project controls department to track the project schedule. In the event of delays, analyze based on contract terms to determine whether they constitute excusable or non-excusable delays, and prepare documentation for extension of time (EOT) or counterclaims accordingly.

● Change Management: Review contractor-submitted change orders for alignment with contractual rights and obligations. For non-compliant submissions, lead drafting responses and interface with the contractor. For valid changes, collaborate with project controls to verify authenticity and pricing basis (e.g., labor and material unit rates per the contract) to prevent scope creep.

● Correspondence Management: Stay aligned with daily project activities. Upon identifying potential risks during execution by project teams, consider contract compliance and evidence chain preparation. Lead the drafting, review, and archiving of routine commercial correspondence, meeting minutes, and notices exchanged with the contractor to ensure all communications are contractually binding or serve as legal evidence.

3. Compliance & Dispute Resolution

● Compliance Checks: Ensure contractors comply with applicable labor laws and regulations at the project location (Houston/Texas), as well as import/export requirements.

● Claims & Dispute Resolution: Anticipate potential disputes and assist the project manager in handling claims and counterclaims. Provide detailed contract interpretation and factual evidence before disputes escalate to mediation or arbitration.

4. Documentation & Reporting

● Contract File Management: Maintain comprehensive electronic and physical files for all contracts and amendments. Ensure the completeness and validity of critical documents (e.g., insurance certificates, bonds, payment records).

● Status Reporting: Regularly report to the project management team on contract status, potential risks, change order backlogs, and payment forecasts.

Qualifications

Basic Qualifications

● Education: Bachelor’s degree or higher in engineering, construction management, law, or supply chain management.

● Experience: 8+ years of contracts management experience in large-scale industrial/chemical/energy projects, with full-cycle involvement in at least two EPC projects valued at over $50 million.

● Technical Knowledge: Proficient in U.S. contract law (UCC and common law principles); familiarity with AIA, ConsensusDocs, or FIDIC contract suites is preferred.

Key Skills

● Technical Understanding: Ability to interpret construction drawings, schedule logic, and technical specifications, and translate technical issues into contractual language.

● Negotiation Skills: Strong commercial negotiation skills to protect company interests while maintaining positive relationships with contractors.

● Language & Communication: Fluent in English (written and verbal), with the ability to draft precise and unambiguous contractual correspondence.

● Software Proficiency: Proficient in MS Office, particularly advanced Excel functions.

Summary

The Highway Lighting & Traffic Signal Foreman leads field crews on highway construction projects, ensuring work is completed safely, efficiently, and according to project plans and specifications. This role oversees daily operations, coordinates crews and equipment, and supports project managers and superintendents in delivering high-quality infrastructure projects.

Key Responsibilities

• Supervise and coordinate daily work activities of construction crews.
• Operate heavy equipment such as drill rigs, backhoes, ditch witch, rock saws, bucket trucks, and other machinery.
• Read and interpret construction plans and layouts to guide project execution.
• Measure and mark construction areas to ensure accurate placement of structures and utilities.
• Load, unload, and transport construction materials, tools, and equipment.
• Assist with installation of traffic control devices, scaffolding, barricades, and temporary structures.
• Coordinate materials, equipment, and labor needed to complete job tasks.
• Monitor job site safety and ensure compliance with safety procedures and regulations.
• Inspect work progress and job sites to ensure specifications and quality standards are met.
• Record and report production, equipment usage, and crew activity.
• Assist crew members with construction activities as needed.

Qualifications

• Minimum 3 years of highway or heavy civil construction experience.
• At least 1 year of supervisory or foreman experience preferred.
• Ability to read and interpret construction plans and specifications.
• Valid Texas driver’s license required.

Preferred Qualifications

• Previous highway lighting or traffic signal construction experience.
• Commercial Driver’s License (CDL).
• Bilingual Spanish/English.

Work Environment & Physical Requirements

• Work performed primarily outdoors in highway and construction environments.
• Frequent operation of heavy equipment and hand tools.

Position Summary

5F is searching for a Mechanical Project Manager for its construction team. This role will provide overall management direction for a project or group of projects and will perform additional duties that include procuring equipment and subcontracts, monitoring and accurately projecting job costs, maintaining billing and schedules and providing technical support and leadership to the field. Additional responsibilities include providing production oversight with the project’s Superintendent on the day-to-day activities of assigned projects. The Project Manager will also develop and maintain long-term customer relationships to foster better communications and develop future work.

Duties and Responsibilities

· Ultimately responsible for quality projects being built on time and within budget.

· Reviews project estimates and verifies accuracy of entry into job cost system as well as accuracy of initial estimate.

· Conducts pre-job and continuing planning meetings to ensure all project team members understand contract terms and conditions, clauses, schedules or any unusual requirements of the project.

· Documents planning meeting results and ensures all action items are completed. Develops and keeps current all project schedules.

· Monitors personnel manning schedules to ensure they match project schedules.

· Establishes and executes subcontract and equipment buy-outs to support schedules and funding.

· Visits job sites or onsite offices daily. Performs work inspections, checks job progress, and resolves project and contract issues

· Investigates potentially serious job issues and implements corrective measures.

· Stays on top of all scope changes to ensure they are processed and incorporated into the current scope of work in a timely manner.

· Provides material takeoff, estimate and pricing for changes to work scope.

· Conducts and attends job meetings according to customer and company guidelines and schedules.

Required Experience

· Minimum 7 years previous experience on large commercial construction projects related to mechanical construction.

· Comprehensive knowledge of HVAC, sheet metal duct systems, plumbing and piping systems.

· Demonstrated skills, experience and proficiency with technology, including experience using Microsoft Office Suite for cost and engineering functions with testable skill at the intermediate level in Excel a minimum.

· Strong knowledge of budgeting, cost estimating, and fiscal management principles and procedures.

· Strong understanding of technical requirements of the industry, as well as knowledge of mechanical design and planning principles and procedures.

· Ability to deal diplomatically and communicate effectively with internal and external customers at various levels within an organization.

· Excellent verbal and written communication skills.

· Ability to handle a dynamic, evolving, and fast-paced workload under deadlines.

· Negotiating experience in construction change orders and project presentations is required.

· Ability to solve complex, multi-faceted problems using various problem-solving techniques.

· Good written and oral communications skills and polished presentation skills.

· Ability to interpret contractual documents, plans, specifications, schematic diagrams and isometric drawings.

· Proficiency at both technical and business letter writing.

· Proficiency with computerized job cost accounting systems.

· Understanding of financial models used in fixed price, cost plus and unit rate/price contracting.

· Normally works out of a job trailer or at an on-site/offsite office setting. Walks the jobsite on a regular basis and as a result requires the ability to physically negotiate the hazards of a new project worksite/work areas (e.g. uneven surfaces, floor openings, heights, installation debris and poor lighting).

· Ability to be reasonably on-call as necessary to support the on-going 24/7 operations of our clients which may include evenings, weekends and some holidays.

· Ability to be on the job site daily to check progress, inspect work and conduct meetings to resolve issues.

· Must pass a drug screen and criminal background check.

Key Responsibilities (Manufacturing Focus):

• Relevant certifications such as CSP (Certified Safety Professional), CHST, OSHA 30, and/or OSHA 510
• Proven ability to influence, coach, and engage employees at all levels
• Strong communication, organizational, and problem-solving skills
• Must be able to pass pre-employment and random drug screens and a background check

Working Conditions:
