Job description:

Winget, Spadafora & Schwartzberg, LLP seeks associate attorney with 1-5 years of litigation experience to join its Boulder, Colorado office. Colorado admission is required for diverse practice including securities litigation and regulation, commercial litigation, directors and officers defense, and professional liability defense work. Exceptional writing and analytical skills are a must. Securities experience is preferred.


Qualifications:

  • JD from an accredited law school
  • Must be admitted to practice in Colorado
  • 1-5 years of litigation experience
  • Experience drafting summary judgment motions and other dispositive motions a plus
  • Mediation and trial preparation experience a plus
  • Knowledge of federal and state rules of civil procedures


Responsibilities:

  • Efficient management of multiple cases
  • Timely preparation of pleadings, motions and discovery to opposing parties
  • Participate in mediations, hearings and depositions as required
  • Client interaction and problem resolution as it relates to cases
  • Integration of best practices and standards in handling clients and their cases
  • Evaluation of findings and development of strategies and arguments in preparation for presentation of cases
  • On-time completion of reports/projects, in adherence to partner and client needs/guidelines
  • Accurate and timely recording of billable hours, in adherence to client guidelines and Firm policy


A variety of factors are considered in making compensation decisions, including but not limited to experience, education, licensure and/or certifications, geographic location, market demands, other business and organizational needs, and other factors permitted by law. This position is considered full-time and therefore qualifies for benefits including 401(k) retirement savings plan, medical, dental, vision, disability, and life insurance. Details of participation in these benefit plans will be provided if an employee receives an offer of employment.


Salary Range:

$82,500 - $122,500 USD (not including bonus)

The Role

They are seeking a Corporate Counsel who is practical, solutions‐oriented, and energized by a mix of high‐level strategy and hands‐on execution. As a key member of the legal function, you'll support the company across commercial transactions, project development, regulatory matters, and ongoing corporate operations.

This role offers significant growth potential, broad exposure across the business, and the chance to shape legal processes and systems from the ground up.

Key Responsibilities

  • Commercial Transactions: Draft, review, and negotiate a wide range of commercial agreements (e.g., EPC, O&M, financing, site control, NDAs, and other development‐related contracts).
  • Project & Development Support: Advise on legal aspects of project development, permitting, interconnection, and stakeholder engagement for solar and energy‐storage projects.
  • Regulatory & Policy: Analyze regulatory issues and support engagement with administrative processes and market programs.
  • Deal Execution: Support project acquisitions, divestitures, and corporate structuring for optimal deal flow.
  • Contract Lifecycle Management: Improve and manage contract intake, review, execution, and ongoing oversight.
  • Legal Research & Risk Management: Provide clear, actionable guidance on real estate, tax, regulatory, and other business‐critical legal matters.
  • Cross‐Functional Collaboration: Translate legal concepts for business teams and help drive alignment across departments.
  • Outside Counsel Oversight: Manage external legal support as needed.
  • Process Improvement: Develop templates, playbooks, and efficient workflows to help the business scale.

Qualifications

  • 4+ years practicing corporate, real estate, commercial, or energy‐related law (transactional focus strongly preferred).
  • Experience supporting complex commercial or project‐driven transactions.
  • Excellent communication, negotiation, and interpersonal skills.
  • Strong analytical and problem‐solving abilities with attention to detail.
  • Ability to manage multiple priorities and operate independently.
  • J.D. from an accredited law school and active bar membership.
  • Location flexible; relocation or hybrid may be preferred depending on company needs.
